European Cooperating State Agreement
between
the Republic of Slovenia
and
the European Space Agency
The Republic of Slovenia,
and
the European Space Agency, hereinafter referred to as "the Agency", established by the Convention opened for signature in Paris on 30 May 1975, hereinafter referred to as "the Convention",
hereinafter referred to as the “Parties”,
CONVINCED of the benefits of sustaining and enhancing the level of international cooperation in space activities for exclusively peaceful purposes,
HAVING REGARD to the results of the cooperation achieved under the Agreement between the Agency and the Republic of Slovenia signed on 28 May 2008 and entered into force on 23 February 2009,
HAVING REGARD to the Resolution on the implementation of measures concerning the European Cooperating States (ECS) adopted by the Agency Council on 21 March 2001 (ESA/C/CL/Res. 2 (Final)), by which the Agency introduced a new cooperative approach designed for European non-Member States with a view to their possible accession to the Convention,
CONSIDERING the wish expressed by the Republic of Slovenia to implement the European space policy and to strengthen its cooperation with the Agency within the frame of this new ECS cooperative approach,
HAVING REGARD to Articles II and XIV.1 of the Convention,
HAVE AGREED AS FOLLOWS:
ARTICLE 1
1.1 Through the present Agreement, the Agency and the Republic of Slovenia agree to cooperate in space activities, in accordance with the terms herein. For the purpose of such cooperation, upon entry into force of this Agreement, the Republic of Slovenia shall become a European Cooperating State (hereinafter referred to as “ECS”). The Republic of Slovenia hereby acknowledges and accepts that the Agency establishes cooperation agreements with other non-Member States similar to the present Agreement, thus also qualifying such other States as ECS’s.
1.2 The Republic of Slovenia agrees that, at all levels of its cooperation with the Agency as an ECS, it will act in conformity with the purposes for which the Agency was created as defined in the Convention, in particular the exploration and utilisation of space for exclusively peaceful purposes.
ARTICLE 2
2.1. The Republic of Slovenia shall be associated with implementation of the Agency’s jointly selected programmes and activities, exclusive of the Agency's basic technology research programme, through its financial contribution to the Plan for European Cooperating States (hereinafter referred to as “PECS”), the content of which shall be mutually agreed with the Agency, subject to the other provisions of the Agreement.
2.2 The Republic of Slovenia shall also receive Announcements of Opportunity for Agency scientific missions allowing it to propose the procurement of instruments to be integrated in these Agency missions at Principal Investigator (PI) or Co-Investigator (CI) level.
ARTICLE 3
3.1 Subject to the terms of Article 7 and the prior requirements and obligations of the Agency, the Republic of Slovenia shall have access on a cost-reimbursable basis to the Agency’s facilities and services for its national space projects covered by the present Agreement. The methods used in calculating costs shall be those applied to the Agency's Member States when utilising Agency facilities and services for their own national space projects. In return, the Republic of Slovenia shall make its facilities and services available to the Agency and its Member States on equitable terms.
3.2 In developing its national space potential and in planning national space missions, the Republic of Slovenia shall make primary reference to the use of European space transportation systems, and of facilities, products and services belonging to, or developed or operated under the auspices of, the Agency or its Member States. The Republic of Slovenia shall, further, support the Agency's efforts to promote the use of European transportation systems, facilities, products and services by those international bodies to which it belongs that employ systems or services with a space-based component.
ARTICLE 4
4.1 For the purposes of this Agreement “Intellectual Property” has the meaning stated in Article 2 of the Convention establishing the World Intellectual Property Organisation, done in Stockholm, 14 July 1967.
4.2 The Parties shall ensure adequate and effective protection of Intellectual Property as may arise from the work done under this cooperation Agreement and of any pre-existing rights that may come into play in the course of such cooperation.
4.3 The specific provisions concerning the rights of access, dissemination and use of technical information and data as well as intellectual property developed under the present Agreement, shall follow the Agency’s rules and procedures.
4.4 The Parties shall strive, within the framework of the legislation or regulations applicable to each of them, to facilitate exchanges of scientific and technical information, data and goods, of mutual interest concerning space science, technology and applications necessary for the implementation of the present Agreement.
ARTICLE 5
5.1 The Republic of Slovenia and the Agency shall exchange information concerning:
(a) the content and planning of their current and future space programmes;
(b) matters of scientific and technical interest arising out of their space activities. In particular, the Republic of Slovenia shall receive reports published and made available by the Agency, as well as information relating to the progress of Agency programmes.
5.2 Provision of any Agency information shall in all cases be subject to the observance by the Republic of Slovenia of any proprietary rights to the information, while the Republic of Slovenia further undertakes not to disseminate information that is classified subject to non-disclosure Agreements signed with the Agency or is not otherwise generally available beyond the territories of Republic of Slovenia and the Agency's Member States, whether directly or through intermediaries operating within or outside those territories.
5.3 The Republic of Slovenia shall not be required to communicate any information obtained outside the Agency if it considers that such communication would be inconsistent with the interests of its own agreements with third parties, or the conditions under which such information was obtained.
5.4 The Republic of Slovenia and the Agency shall, as appropriate, exchange experts concerned with work within the competence of the Agency, in conformity with the laws and regulations relating to the entry into, stay in or departure from the Republic of Slovenia.
5.5 The Republic of Slovenia shall have access to the Agency’s young graduate and fellowship programmes, subject to conditions to be mutually agreed.
5.6 The Republic of Slovenia and the Agency shall also consult together when they are represented at international organisations, conferences and meetings relating to space activities, for the purpose of exchanging views on matters of mutual concern and shall seek to harmonise as appropriate their positions on matters which are likely to have a bearing on implementation of their common space programmes and activities.
ARTICLE 6
16.1 For matters relevant to the implementation of this Agreement and the coordination with other ECS’s, a dedicated committee referred to as the “PECS Committee” shall be established by the ECS’s and shall be operated in accordance with the terms of the attached Appendices to the present Agreement.
26.1 For matters relating to the PECS, the Republic of Slovenia shall be entitled to attend meetings of the Agency's Council and/or its subsidiary bodies as an observer through one representative, who may be accompanied by advisers. The Republic of Slovenia shall receive draft agendas and relevant documents available to Member States to enable it to participate in meetings of Council and/or its subsidiary bodies as an observer.
ARTICLE 7
The Republic of Slovenia shall participate in and, in conformity with the Agency’s financial regulations and instructions, contribute financially to the PECS, in particular through its subscription of the “PECS Charter”, in accordance with the terms of the Appendices to the present Agreement.
ARTICLE 8
8.1 With respect to the geographical distribution of contracts relating to the PECS in which the Republic of Slovenia participates, the Agency shall implement the applicable industrial policy rules referred to in Appendix I to the present Agreement.
8.2 Special yearly reviews shall be held between the Agency and the Republic of Slovenia in order to discuss the convergence and complementarity of Slovenian industries with the space industries of the Agency’s Member States.
ARTICLE 9
For the execution of the Agency’s official activities undertaken within the frame of the present Agreement, the Republic of Slovenia shall grant the following privileges and immunities:
9.1 The Agency shall have, in the territory of the Republic of Slovenia, legal personality. It shall in particular have the capacity to contract, to acquire and dispose of movable and immovable property, and to be a party to legal proceedings.
9.2 The Agency shall have immunity from jurisdiction and execution except:
a) where the Agency has expressly waived such immunity in a particular case;
b) in respect of a civil action by a third party for damage arising from an accident caused by a motor vehicle belonging to, or operated on behalf of the Agency, or in respect of a motor traffic offence involving such a vehicle;
c) in respect of an enforcement of an arbitration award made under Article 12 below.
9.3 Within the scope of its official activities, the Agency, its property and income shall be exempt from direct taxes in Republic of Slovenia. The Agency shall also be exempted from indirect taxes when purchases or services of substantial value, strictly necessary for the exercise of the official activities of the Agency within the frame of the present Agreement, are made or used, by the Agency.
9.4 Goods imported or exported by the Agency and strictly necessary for the exercise of its official activities shall be exempt from all import and export duties and taxes and from all import or export prohibitions and restrictions. Any such imported or exported goods may not be sold, lent or transferred with or without payment in the territory of Republic of Slovenia except according to conditions defined by the Republic of Slovenia. The Republic of Slovenia and the Agency shall define the procedures to be applied to the export or import of assets used in connection with their cooperation. The Agency shall cooperate with the Slovenian authorities in order to ensure that the goods imported or exported by the Agency are being used for its official activities undertaken within the frame of the present Agreement.
9.5 The Agency may receive and hold in the Republic of Slovenia any kind of funds, currency, cash or securities; it may dispose of them freely in Republic of Slovenia for any official purpose of the Agency and hold accounts in any currency.
9.6 Staff members of the Agency shall be exempt from taxes on their salaries, emoluments, benefits and pensions received in respect of current or previous service with the Agency; such exemption shall also extend to benefits paid to members of their families.
9.7 The circulation of publications and other information material sent by or to the Agency shall not be restricted in any way.
ARTICLE 10
The Republic of Slovenia shall notify the Agency's Director General of the name of the authority appointed to represent it for the implementation of the present Agreement, as well as the names of its representative and advisers attending any meetings in accordance with Article 6 above.
ARTICLE 11
The Parties shall each be solely liable for the conduct of their own activities in the execution of the present Agreement. In particular, they shall each have a right of recourse against the other in respect of damage of any kind to persons or property caused by the other and shall hold each other harmless against any claims made by a third party in respect of damage caused by their own activity.
ARTICLE 12
12.1 Any dispute arising out of the application or interpretation of this Agreement which cannot be settled amicably between the parties shall, at the request of either party, be submitted to an arbitration tribunal.
12.2 The arbitration tribunal shall consist of three members, one arbitrator appointed by the Agency, one designated by the Republic of Slovenia and a third arbitrator, who shall be elected by the first two arbitrators and who shall be the Chairman. If, within a period of six months from the date of the request for arbitration, either party has not named its choice, the arbitrator shall, at the request of either party, be appointed by the President of the International Court of Justice. The same procedure shall apply if, within six months of the designation or appointment of the first two arbitrators, the third has not been elected.
12.3 The arbitration Tribunal shall establish its own procedure; its decision shall be final and binding.
ARTICLE 13
The Appendices to the present Agreement shall form an integral part of the present Agreement.
ARTICLE 14
14.1 The present Agreement, after signature by the Parties and its approval in accordance with the legal order of the Republic of Slovenia, shall enter into force upon subscription by the Republic of Slovenia of the PECS Charter referred to in Article 7 and detailed in Appendix I, except for the rules contained in Appendix II A and B which shall be applicable upon signature. This subscription of the PECS Charter shall be made at the latest one year after the signature of the present Agreement unless the Parties have agreed another time limit. In the event the said subscription has not occurred within the above time limit, the present Agreement shall be null and void.
14.2 Upon its entry into force, the present Agreement shall replace the cooperation agreement between the Agency and the Republic of Slovenia referred to in the preamble, it being understood that its provisions shall nevertheless continue to apply to the extent necessary to secure the implementation of any contracts that have been concluded within the framework of that agreement and which are still effective on the date on which that agreement ceases to have effect.
ARTICLE 15
15.1 Unless previously terminated in accordance with the provisions of paragraph 3 below, the present Agreement shall terminate five years after the date of its entry into force. One year before the expiry of this Agreement, the Parties shall review the results of its implementation on the basis of the outcome of the yearly reviews referred to in Article 8 and shall examine ways and means of continuing or further developing such cooperation. The Parties shall in particular examine the possibility of the Republic of Slovenia being granted the status of Associate Member or Member State of the Agency.
15.2 In the event of the continuation of the present cooperation, the present Agreement may be extended by mutual agreement in writing.
15.3 Either party may denounce the Agreement by giving written notice not less than one year before the intended date of termination which shall correspond to the end of the calendar year.
15.4 Termination of this Agreement shall not affect the validity of those rights and obligations of either Party which are meant to survive termination of the Agreement or its interpretation such as, but not limited to, arbitration, confidentiality, liability, intellectual property rights, nor of contracts entered into in pursuance of this Agreement. After the termination of the present Agreement, the Republic of Slovenia shall in particular remain bound to finance its share of the payment appropriations corresponding to the contract authority approved under the budget for the current or previous financial years relating to the PECS.
15.5 The Republic of Slovenia and the Agency may amend the provisions of this Agreement by mutual agreement. Amendments, except for those made exclusively to the appendices, shall take effect on the date of notification that both parties have met the necessary internal conditions for the amendments to enter into force. Amendments made exclusively to the Appendices shall be made in accordance with the terms of these appendices.

Appendix I Plan for European Cooperating States (PECS): Objectives, Rules and Procedures
I Objectives
I.1 Overall objectives of the PECS
The overall objective of the PECS is to associate the Republic of Slovenia with Agency programmes and activities and to prepare in the most efficient manner for possible future accession to the ESA Convention.
I.2 Specific objectives of the PECS
a) Develop cooperation between scientific and applications user communities in Republic of Slovenia and Agency Member States.
b) Create and strengthen the respective industrial expertise and capacity of Republic of Slovenia with a view to allowing a fair and equitable industrial participation in future Agency programmes after accession.
c) Provide indirect access to ESA programmes and activities and access to joint Agency/EU programmes, in accordance with the terms and conditions of the applicable legal instruments.
d) Foster the Republic of Slovenia’s understanding of the Agency’s organisation and functioning of European space products, standards and procedures.
e) Ensure coherence between the space activities of Member States and the Republic of Slovenia e.g. by avoiding unnecessary duplication.
I.3 Areas and categories of activities to be covered by the PECS
I.3.1 The PECS will cover four main categories of activities, as defined in I.3.2 below, in the following five areas:
a) Space science, in particular space astronomy and astrophysics, solar system exploration and solar-terrestrial physics;
b) Earth observation research and applications, in particular environmental monitoring, meteorology, aeronomy and geodesy;
c) Telecommunications, in particular service demonstrations and satellite navigation;
d) Microgravity research, in particular space biology and medicine, and materials processing;
e) Ground segment engineering and utilisation.
I.3.2 The categories of activities covered by the PECS are the following:
a) Technology and equipment relating to ESA optional programmes which are not on the critical path for execution of the Agency’s programmes ("non-critical path technology");
b) Scientific projects and/or experiments;
c) Data exploitation;
d) Support to Small and Medium Entreprises (SMEs).
I.3.3 The detailed activities to be covered by the PECS shall be defined in a rolling five-year plan to be renewed, at the end of the fourth year of each five-year period in the light of the negotiations concerning renewal of the Agreement between the Agency and the Republic of Slovenia, for a new five-year period starting at the end of the fifth year. The five-year draft plan shall be approved within the framework of the PECS Committee and may be updated every year in accordance with the procedures set out below.
II. Rules and procedures
II.1 Implementation of the PECS
II.1.1 The Agency shall execute the PECS in conformity with its rules and procedures, unless otherwise provided for in the present objectives, rules and procedures.
II.1.2 A dedicated Committee, hereinafter referred to as "the PECS Committee", shall be set up to monitor and control implementation of the PECS. The Committee’s terms of reference and rules of procedure are described in Appendix II below.
II.1.3 National institutions under the jurisdiction of Republic of Slovenia may, at the Agency’s request and with the agreement of the Republic of Slovenia, provide technical support for one or more activities to be executed under the PECS; where appropriate, such support shall be covered by an exchange of letters between the institution concerned and the Agency, which shall be forwarded for information to all the other ECSs and to the Council of the Agency.
II.1.4 The Agency shall make its facilities and services available for activities performed under the PECS in accordance with the provisions of Article 3.1 of the present Agreement. In particular the Agency’s Electronic Mail Invitation Tender System (EMITS) shall be made available to registered firms in Republic of Slovenia on the following conditions:
a) Read-only access for Agency programmes; and
b) Full access to activities included in the PECS, and access to joint Agency/EU programmes, in accordance with the terms and conditions of the applicable legal instruments.
II.2 Content of the PECS
Prior to the start of activities for a five-year period, the Agency shall draw up a five-year PECS, based on inputs received from the Republic of Slovenia and Member States in accordance with the following procedure:
II.2.1 The Agency shall consult with the Republic of Slovenia on its wishes regarding non-critical path technology.
II.2.2 Taking into account the provisions of Article 6 of the Agreement, the Agency shall thereafter establish a preliminary draft five-year PECS to be discussed in each Programme Board and Committee, and shall submit it for approval, by a two-thirds majority vote of the Member States or the participants concerned, to the following Agency Committees and Programme Boards with a view to its approval by the PECS Committee:
a) to the relevant Agency Programme Boards: with respect to contributions by the Republic of Slovenia in the development and/or the exploitation phase of systems and payloads or to the development of non-critical path technology, to be undertaken within the framework of Agency optional programmes;
b) to the Science Programme Committee (SPC): with respect to contributions by the Republic of Slovenia in the development and/or the exploitation phase or in the development of non-critical path technology, to be undertaken within the framework of Agency scientific projects.
c) to the Industrial Policy Committee (IPC): with respect to the inclusion in its PECS of the development of certain technologies listed in the Agency’s Technology Master Plan to be undertaken by the Republic of Slovenia or the development by the latter of non-critical path technology in this field and of activities to be undertaken in support of SMEs.
In addition, if the PECS activity is included within the scope of the activities as defined in Annex A to a programme Declaration in force or in the process of being finalised, the corresponding Declaration or draft Declaration shall be amended or shall acknowledge this PECS contribution accordingly.
The IPC shall also examine and approve by a simple majority vote of all Member States the industrial policy aspects of the PECS before it is submitted to the PECS Committee for approval.
II.2.3 The Agency shall thereafter prepare a consolidated PECS on the basis of the elements approved by the relevant Committees and Programme Boards with a view to its examination and approval by the PECS Committee. The Republic of Slovenia shall at this stage inform the Agency and the PECS Committee of the activities it wishes to support, taking into account the convergence and complementarity of Slovenian industries with the ESA Member States, and shall also give the Agency confirmation of its intended contribution to the funding of the activities concerned.
II.2.4 Prior to approval of the five-year PECS by the PECS Committee, any changes in the content of the proposed activities requested by the PECS Committee, with the exception of deleted activities, shall be forwarded for examination to the relevant Committees and Programme Boards. The relevant Committees and Programme Boards shall thereafter forward their approval of the proposed changes to the PECS Committee for its approval.
II.2.5 Once the PECS Committee has approved the five-year PECS, the Agency shall, on the basis of that PECS, prepare a specific instrument, hereafter called the “PECS Charter” (referred to in Article 14.1), allowing the Republic of Slovenia to commit financially to the PECS. The PECS Charter shall include the references of the activities to be financed by the Republic of Slovenia as defined in the approved PECS and shall show the corresponding financial contribution to be subscribed by the Republic of Slovenia including its financial share of the internal costs of the Agency referred to in paragraph II.4, together with the corresponding indicative breakdown and schedule of payments. The PECS Charter shall be presented by the Agency to the Republic of Slovenia for subscription and shall thereafter be transmitted to the PECS Committee for information.
II.2.6 The five-year PECS may be revised and updated once every year during this five-year period to take into account new activities that are proposed by the Agency and in which the Republic of Slovenia or another ECS has expressed an interest. Approval of the yearly revision of the PECS shall be preceded by approval by the relevant Agency Committees and Programme Boards. If as the result of the above procedure new activities are added to the PECS, the PECS Charter shall be amended by the Agency accordingly and the Republic of Slovenia shall agree on its resulting increased contribution, if any, as reflected in the updated PECS Charter.
II.3 Industrial policy principles
II.3.1 The PECS shall be based on a guaranteed geographical return coefficient of 1. The geographical return shall be calculated according to the Resolution on the Regulation Concerning the Calculation of the Geographical Return Coefficients (ESA/CXXXVIII/Res. 6 (Final)) adopted by the Agency Council.
II.3.2 When defining the content of the five-year work plan of the PECS and any revision thereof, the following industrial policy principles shall be applied:
a) non-distortion of competition;
b) complementarity with existing expertise in Member States;
c) complementarity with the activities undertaken in the approved ESA programmes;
d) impact on the development of the use of services derived from European space assets;
e) technological value for the Agency with emphasis on:
- innovation potential
- compatibility with the European Technological Master Plan and/or with the future programmatic needs of the Agency;
f) impulse to European industrial networking;
g) opening of new markets for competitive suppliers;
h) involvement of SME’s.
II.3.3 These criteria will also be used by the IPC when examining and reviewing the draft PECS.
II.4 Financial matters
II.4.1 The PECS shall be financed through contributions by the ECS made in accordance with the rules and procedures of the Agency, which will be formalised through subscription by the Republic of Slovenia of the PECS Charter in accordance with the procedures referred to in paragraph II.2 the Republic of Slovenia will, for the management of the programme, cover the Agency’s internal costs, at a fixed rate of 7% of the yearly financial contribution covered by the Charter, progressively increased each year with the aim of reaching full costs after the five-year period of the PECS.
II.4.2 The minimum financial contribution required for the participation of any ECS in the PECS over a period of five years amounts to 5 MEURO at 2001 economic conditions.
II.4.3 Work may start as soon as one ECS has subscribed to the PECS Charter.
II.4.4 The Republic of Slovenia may subsequently increase its contribution to the PECS once a year as long as such increase does not entail any additional cost to other ECS’s.
II.4.5 In the case of contracts co-financed by either the selected firm or other sources the participation in Agency’s internal costs shall be calculated on the basis of the overall contract value, unless otherwise agreed.
II.4.6 Notwithstanding the provisions of Article 18 of the Agency’s Financial Regulations, any amount unspent at the end of the financial year shall be automatically carried forward to the following year.
II.4.7 At the end of each five-year period covered by the PECS, the share of the Republic of Slovenia’s contribution that has not been earmarked for the execution of the corresponding work shall be used to finance activities planned to be executed in the following five-year period covered by the PECS, unless otherwise required by the Republic of Slovenia.
II.4.8 In the event of termination of the present Agreement, any contribution of the Republic of Slovenia not committed under the PECS may be assigned by the Republic of Slovenia to other Agency programme in which it participates if it becomes a Member State or an associate Member, or may be otherwise disposed of as decided by the Republic of Slovenia.
II.5 Contractual Matters
II.5.1 The Agency shall conclude the contracts necessary for the execution of the PECS in accordance with its rules and procedures, by applying the general clauses and conditions for ESA contracts and in particular all contracts shall be placed in EURO.
II.5.2 Contractual commitments entered into by the Agency shall be limited to the funding available. The Agency shall not issue an invitation to tender when the funding for the activities concerned is insufficient in relation to the cost estimates in the work plan.
II.5.3 Activities shall as a general rule be carried out through an open competition procedure in the ECS’s that have expressed an interest in the activities concerned.
II.5.4 In the case of co-funded activities the Agency shall retain full visibility over expenditure planned and actually incurred by the contractor as well as the origin of all funding for the purpose of the execution of the contract. Where appropriate this may include a right of audit by or on behalf of the Agency.
II.5.5 Any intellectual property rights stemming from the in-orbit flight of a payload included in the activities of the PECS shall be governed by the Agency’s Rules.
II.6 Final provisions
II.6.1 The Republic of Slovenia shall in principle, depending on the objectives of the cooperation project, be the owner of the assets produced and funded by it under the PECS as well as of the facilities, software and equipment acquired for its execution, while taking into account the principles governing Agency contracts.
II.6.2 Amendments made to the present Appendix I shall require the Parties’ written agreement.

Terms of reference and rules of procedure
A. Terms of reference
The PECS Committee, acting in coordination with the Agency, shall monitor and control the execution of the PECS in accordance with the Objectives, Rules and Procedures set out in Appendix I to the present Agreement. To that end it shall:
1. examine and approve by a simple majority vote of the ECS’s, after receiving notification of agreement by the relevant subordinate bodies of the Agency Council, the draft five-year PECS referred to in paragraph II.2 of the PECS Objectives, Rules and Procedures and any amendment thereof.
The right to vote on the draft five-year PECS shall also be granted to any other potential ECS’s for which the relevant ECS Agreement has been signed but has not yet come into force;
2. decide, in conformity with Chapter V of the PECS Committee rules of procedures, on the language in which the meetings of the PECS Committee will be conducted, such decision to be taken by a simple majority vote of the ECS’s;
3. take note of any subscriptions or any increase in contributions made by the participants to the PECS as reflected in the PECS Charter;
4. Receive information concerning the technical support provided by a national institution under the jurisdiction of a European Cooperating State referred to in the PECS Objectives, Rules and Procedures;
5. Approve its terms of reference and its rules of procedure and any amendments thereof.
Appendix II PECS Committee
B. Rules of Procedure
Chapter I Composition
1.1 The PECS Committee shall be exclusively composed of representatives of ECS.
1.2 One representative of each Member State of the Agency may attend meetings of the Committee as observer. The Chairmen of the Administrative and Finance Committee (AFC), Industrial Policy Committee (IPC) and Science Programme Committee (SPC) of the Agency are invited to attend ex officio and are granted observer status.
1.3 Each ECS may in principle be represented by no more than two delegates. Participation as delegate shall be subject to submission to the Chairman of credentials issued by the competent national authority.
1.4 Advisers may accompany the delegates. The names and professions of advisers shall be notified to the Director General of the Agency before they take part in the work of any meeting of the Committee.
Chapter II Chairmanship
2.1 The Committee shall elect for one year from among the representatives of the ECS a Chairman and a Vice-chairman.
2.2 If the Chairman is unable to fulfil his or her functions the Vice-chairman shall take the Chair in his or her stead. The acting Chairman shall have the same powers and duties as the Chairman.
2.3 The Chairman shall conduct the Committee’s deliberations. He or she shall not have the capacity of delegate. In the exercise of his or her functions the Chairman shall remain under the authority of the Committee.
2.4 The ECS of which a delegate exercises the functions of Chairman shall appoint a delegate in his or her stead for the duration of his or her functions as Chairman.
Chapter III Meetings
3.1 The Committee shall in principle meet on Agency premises, as a general rule not more than twice a year, immediately following a meeting of the IPC or AFC.
3.2 At the beginning of each meeting, the Chairman shall circulate a list of participants for signature.
3.3 Attendance of Representatives of Member States of the Agency and Chairmen of the AFC, IPC and SPC at meetings of the Committee shall in no way imply a right to vote.
3.4 The Committee shall at each meeting determine the date of its next meeting. When necessary the Chairman may alter the date fixed for a meeting.
3.5 The Chairman may convene extraordinary meetings of the Committee, either on his or her own initiative or on a request from a majority of ECS. He or she shall try to arrange such meetings in conjunction with meetings of the IPC or AFC.
3.6 The Director General of the Agency shall designate a member of the staff of the Agency to act as Secretary of the Committee.
3.7 After consultation with the Chairman, the Secretary of the Committee shall prepare a draft agenda, which shall be circulated to the ECS not later than a fortnight before each meeting.
3.8 The draft agenda shall be discussed and adopted by the Committee after any necessary modifications, immediately after the opening of the meeting. Other items may be added to the draft agenda but a decision may be taken on them only if all ECS present agree.
3.9 The staff members of the Agency designated by the Director General of the Agency shall attend meetings of the Committee.
3.10 Each ECS shall have one vote.
3.11 Except where otherwise provided for, decisions shall be taken by a simple majority of ECS represented and voting.
3.12 The present rules of procedure will be implemented with a view to facilitating the fulfilment of the objectives of the PECS and will become fully applicable when at least three ECS have joined the PECS Committee.
Chapter IV Functions of the Chairman and conduct of business
4.1 The Chairman shall, subject to the provisions of these Rules, control the proceedings of the Committee and maintain order during its meetings. He or she shall declare the opening and closing of each meeting direct the discussions and, if necessary, sum them up, ensure observance of these Rules, accord or withdraw the right to speak, decide points of order, put proposals to the vote and announce decisions. He or she may propose adjournment or closure of the debate, or adjournment or suspension of a meeting. He or she shall ascertain before each vote that a quorum is present in accordance with paragraph 4.10 below.
4.2 No one shall take the floor without first having obtained the Chairman's authorisation. Subject to the provisions of paragraph 4.3, the Chairman shall call upon speakers in the order in which they have asked to speak. The Chairman may call to order a speaker whose remarks have no bearing on the subject at issue.
4.3 During the meeting, an ECS may move a point of order. The Chairman shall give an immediate ruling on this motion. Any ECS may appeal against the Chairman's ruling, in which case the appeal shall be debated and put to the vote. Unless the appeal is upheld by a majority of ECS present and voting, the Chairman's ruling shall stand. ECS speaking on a point of order may not deal with the substance of the point at issue.
4.4 Priority over all other propositions or motions shall be given, in the following order, to motions for:
a) Suspending the sitting,
b) Closing the sitting,
c) Adjourning the question under discussion,
d) Closure of the debate on the question under discussion.
4.5 Any proposal in its final form shall be put to the vote. It shall be submitted to the meeting in writing if an ECS so requests. In such case the Chairman shall not put the proposal to the meeting until ECS so desiring are in possession of the text of the proposal.
4.6 Whenever an amendment to a proposal is moved, the amendment shall be put to the vote first. If two or more amendments are moved the Committee shall vote first on the one which the Chairman rules to be in substance farthest from the original proposal. Where adoption of one amendment necessarily implies rejection of another amendment, the latter shall not be put to the vote.
4.7 Any ECS may request that parts of an amendment be put to the vote separately. If this request meets with objection, the motion to split the amendment shall be put to the vote.
4.8 If an ECS so requests, the Committee shall then vote on the final amended proposal.
4.9 Where two or more proposals are moved in respect of one and the same matter, these proposals shall, unless the Committee decides otherwise, be put to the vote in the order in which they were moved. After each vote the Committee may decide whether or not to vote on the next proposal.
4.10 Whenever the present rules become fully applicable pursuant the provisions of paragraph 3.12 above, the presence of representatives from a majority of ECS shall be necessary to constitute a quorum at any meeting of the PECS Committee.
Chapter V Languages
The Committee’s meetings shall be conducted in one of the working languages of the Agency, to be chosen by the PECS Committee. All documents for the meetings shall be prepared in the corresponding language.
Chapter VI Minutes
6.1 After each meeting of the Committee draft minutes shall be prepared by the Committee Secretary, giving the substance of the discussions and recording the conclusions reached.
6.2 The draft minutes shall be circulated as soon as possible after the end of the meeting.
6.3 Proposals for amendments to the draft minutes shall be sent by the ECS to the Committee Secretary in writing within three weeks of the date of their communication.
6.4 At the beginning of each meeting the minutes of the previous meeting, after consideration of any amendment submitted, shall be approved by the Committee.
Chapter VII Amendments
The terms of reference of the PECS Committee and its rules of procedure may be amended by the PECS Committee and shall require the Agency’s written consent.

Evropska vesoljska agencija (v nadaljnjem besedilu: agencija), ustanovljena s konvencijo, ki je bila dana v podpis v Parizu 30. maja 1975 (v nadaljnjem besedilu: konvencija),
v nadaljnjem besedilu »pogodbenici«, STA SE,
PREPRIČANI o prednostih ohranjanja in krepitve ravni mednarodnega sodelovanja pri vesoljskih dejavnostih v izključno miroljubne namene,
OB UPOŠTEVANJU dosežkov sodelovanja na podlagi sporazuma, ki sta ga pogodbenici podpisali 28. maja 2008 in je začel veljati 23. februarja 2009,
OB UPOŠTEVANJU Resolucije o izvajanju ukrepov glede evropskih sodelujočih držav, ki jo je Svet agencije sprejel 21. marca 2001 (ESA/C/CL/Res. 2 (končna)) in s katero je agencija uvedla nov način sodelovanja evropskih držav nečlanic, zato da jim omogoči pristop h konvenciji,
OB UPOŠTEVANJU, da je Republika Slovenija izrazila željo po izvajanju evropske vesoljske politike in krepitvi sodelovanja z agencijo na podlagi navedenega novega načina sodelovanja evropskih držav,
OB UPOŠTEVANJU II. in XIV.1 člena konvencije,
DOGOVORILI:
1. ČLEN
1.1 Pogodbenici soglašata, da bosta pri vesoljskih dejavnostih sodelovali skladno z določbami tega sporazuma. Zato Republika Slovenija z njegovo uveljavitvijo postane evropska sodelujoča država. S tem potrjuje in sprejema, da agencija lahko sklepa sporazume o sodelovanju, podobne temu, z drugimi državami nečlanicami, s čimer te prav tako postanejo evropske sodelujoče države.
1.2 Republika Slovenija soglaša, da bo na vseh ravneh sodelovanja z agencijo kot sodelujoča evropska država delovala v skladu s cilji, zaradi katerih je bila agencija ustanovljena in ki so opredeljeni v konvenciji, zlasti pri raziskovanju in uporabi vesolja za izključno miroljubne namene.
2. ČLEN
2.1 Republika Slovenija se pridružuje izvajanju skupno izbranih programov in dejavnosti agencije, pri čemer je izključen agencijski raziskovalni program osnovne tehnologije, s sofinanciranjem Načrta za evropske sodelujoče države (v nadaljnjem besedilu: PECS), o vsebini katerega se, ob upoštevanju drugih določb sporazuma, pogodbenici medsebojno dogovorita.
2.2 Republika Slovenija od agencije prejema Objave o priložnostih za znanstvene naloge, ki ji omogočajo, da predlaga dobavo instrumentov in naprav za vključitev v te naloge na ravni vodilne raziskovalke ali soraziskovalke.
3. ČLEN
3.1 Ob upoštevanju določb 7. člena ter predhodnih zahtev in obveznosti agencije ima Republika Slovenija na podlagi povračljivih stroškov dostop do objektov, naprav in storitev agencije za nacionalne vesoljske projekte, ki so zajeti v tem sporazumu. Stroški se izračunavajo po postopkih, ki jih agencija uporablja za svoje države članice, kadar uporabljajo objekte, naprave in storitve za nacionalne vesoljske projekte. Agenciji in njenim državam članicam Republika Slovenija v zameno daje na voljo svoje objekte, naprave in storitve pod enakimi pogoji.
3.2 Republika Slovenija bo pri razvoju svojih zmožnosti in načrtovanju vesoljskih nalog uporabljala predvsem evropske prevozne sisteme, objekte in naprave, izdelke in storitve, ki pripadajo agenciji ali njenim članicam, ali jih je ta razvila/so jih te razvile, ali delujejo pod njenim/njihovim pokroviteljstvom. Prav tako bo podpirala prizadevanje agencije za spodbujanje uporabe evropskih prevoznih sredstev, objektov in naprav, izdelkov in storitev tistih mednarodnih organov in ustanov, ki jim pripada in ki uporabljajo sisteme ali storitve z elementom, povezanim z vesoljem.
4. ČLEN
4.1 V tem sporazumu ima »intelektualna lastnina« pomen, ki je naveden v 2. členu Konvencije o ustanovitvi Svetovne organizacije za intelektualno lastnino, podpisane v Stockholmu 14. julija 1967.
4.2 Pogodbenici zagotovita primerno in učinkovito varstvo intelektualne lastnine, ki bi bila lahko povezana z delom, opravljenim po tem sporazumu o sodelovanju, ter vse predhodno obstoječe pravice, ki bi se lahko upoštevale med tem sodelovanjem.
4.3 Posebne določbe v zvezi s pravicami do dostopa, razširjanja in uporabe tehničnih informacij in podatkov ter intelektualne lastnine, ki nastane v okviru tega sporazuma, upoštevajo pravila in postopke agencije.
4.4 Pogodbenici si na podlagi zakonodaje ali predpisov, ki se uporabljajo v vsaki od obeh, prizadevata olajšati izmenjavo znanstvenih in tehničnih informacij, podatkov in izdelkov, za katere velja vzajemno zanimanje v zvezi z vesoljsko znanostjo, tehnologijo in področji uporabe in ki so potrebni za izvajanje tega sporazuma.
5. ČLEN
5.1 Pogodbenici si izmenjujeta informacije, ki se nanašajo na:
(a) vsebino in načrtovanje sedanjih in prihodnjih vesoljskih programov;
(b) zadeve znanstvenega in tehničnega interesa, ki izhajajo iz njunih vesoljskih dejavnosti. Republika Slovenija bo zlasti prejemala poročila, ki jih objavlja in daje na voljo agencija, ter informacije v zvezi z napredkom njenih programov.
5.2 Republika Slovenija pri vseh informacijah, ki jih prejme od agencije, upošteva lastninsko pravico do njih, pri čemer se zavezuje, da ne bo razširjala tistih, ki so označene kot tajne glede na sporazume o nerazkritju, podpisane z agencijo, ali niso kako drugače na voljo javnosti zunaj Republike Slovenije ali držav članic agencije, bodisi neposredno bodisi s posredniki, ki delujejo znotraj ali zunaj ozemelj teh držav.
5.3 Od Republike Slovenije se ne sme zahtevati, da sporoča kakršne koli informacije, pridobljene zunaj agencije, če Republika Slovenija meni, da bi bilo to v neskladju z interesi njenih sporazumov s tretjimi strankami ali pogoji, po katerih je take informacije dobila.
5.4 V zvezi z delom, ki je v pristojnosti agencije, si pogodbenici po potrebi izmenjujeta strokovnjake, skladno z zakoni in drugimi predpisi v zvezi z vstopom v Republiko Slovenijo, prebivanjem v njej ali odhodom iz nje.
5.5 Ob upoštevanju pogojev, o katerih se pogodbenici medsebojno dogovorita, ima Republika Slovenija dostop do programov agencije za mlade diplomante in štipendiste.
5.6 Pogodbenici se tudi posvetujeta o zastopanju v mednarodnih organizacijah, na konferencah in zasedanjih v zvezi z vesoljskimi dejavnostmi zaradi izmenjave stališč o vprašanjih skupnega pomena ter si prizadevata, če je to primerno, za uskladitev svojih stališč do vprašanj, za katera je verjetno, da bi lahko vplivala na izvajanje njunih skupnih programov in vesoljskih dejavnosti.
6. ČLEN
6.1 Za vprašanja v zvezi z izvajanjem tega sporazuma in usklajevanje z drugimi sodelujočimi evropskimi državami slednje v ta namen ustanovijo poseben odbor, t. i. odbor za PECS, ki deluje v skladu s pogoji iz priloženega dodatka k temu sporazumu.
6.2 Za vprašanja v zvezi s PECS ima Republika Slovenija pravico, da se njen predstavnik, ki ga lahko spremljajo svetovalci, kot opazovalec udeležuje sej Sveta agencije in/ali njegovih pomožnih organov. Republika Slovenija prejema osnutke dnevnih redov in ustreznih dokumentov, ki so na voljo državam članicam, da se ji kot opazovalki omogoči udeležba na sejah Sveta in/ali njegovih pomožnih organov.
7. ČLEN
Republika Slovenija sodeluje ter skladno s finančnimi predpisi in navodili agencije finančno prispeva k PECS, zlasti s finančnim vložkom za izvedbo »okvirnega programa PECS«, skladno s pogoji iz dodatka k temu sporazumu.
8. ČLEN
8.1 Z upoštevanjem geografske porazdelitve pogodb v zvezi s PECS, pri katerem sodeluje Republika Slovenija, agencija izvaja veljavne predpise industrijske politike, navedene v dodatku I k temu sporazumu.
8.2 Opravljajo se posebni letni pregledi med pogodbenicama, na katerih se obravnavata ujemanje in dopolnjevanje slovenskega gospodarstva z vesoljsko industrijo držav članic agencije.
9. ČLEN
Za uradne dejavnosti, ki jih agencija na podlagi tega sporazuma izvaja v Republiki Sloveniji, ji ta podeli te privilegije in imunitete:
9.1 Agencija ima na slovenskem ozemlju status pravne osebe. Ima zlasti pristojnost, da najema, pridobiva in odprodaja premičnine in nepremičnine, ter je stranka v sodnem postopku.
9.2 Agencija ima imuniteto pred pravno pristojnostjo in izvršbo, razen:
a) kadar se izrecno odpove imuniteti pri neki zadevi;
b) v zvezi s civilno tožbo s strani tretje stranke zaradi škode, povzročene v nesreči motornega vozila, ki pripada agenciji ali se uporablja v njenem imenu, ali v zvezi s prekrškom v prometu motornih vozil, v katerega je tako vozilo vpleteno;
c) v zvezi z izvajanjem arbitražne sodbe iz 12. člena tega sporazuma.
9.3 Agencija, njena lastnina in dohodek so na področju njenih uradnih dejavnosti izvzeti iz vseh neposrednih davkov v Republiki Sloveniji. Agencija je izvzeta tudi iz posrednih davkov, kadar kupuje ali opravlja in uporablja storitve precejšnje vrednosti, ki so nujne za izvajanje njenih uradnih dejavnosti na podlagi tega sporazuma.
9.4 Blago, ki ga agencija uvozi ali izvozi in je nujno potrebno za izvajanje njenih uradnih dejavnosti, je izvzeto iz vseh uvoznih in izvoznih dajatev ter davkov, pa tudi iz vseh uvoznih ali izvoznih prepovedi in omejitev. Nobeno tako uvoženo ali izvoženo blago se na slovenskem ozemlju ne sme prodati, posoditi ali posredovati, s plačilom ali brezplačno, razen po pogojih, ki jih določi Republika Slovenija. Pogodbenici opredelita postopke, ki se uporabljajo pri uvozu ali izvozu sredstev v povezavi z njunim sodelovanjem. Agencija sodeluje s slovenskimi organi oblasti, da se zagotovi uporaba blaga, ki ga agencija uvozi ali izvozi, za njene uradne dejavnosti na podlagi tega sporazuma.
9.5 Agencija lahko v Republiki Sloveniji prejema ali hrani vse vrste sredstev, valuto, gotovino ali vrednostne papirje; z njimi lahko prosto razpolaga za kateri koli uradni namen in razpolaga z računom v kateri koli valuti.
9.6 Uslužbenci agencije so izvzeti iz plačila davkov na plače, honorarje, prejemke in pokojnine, ki jih prejemajo v zvezi s sedanjo ali prejšnjo službo pri agenciji; izvzetje velja tudi za prejemke, izplačane članom njihovih družin.
9.7 Razpošiljanje publikacij in drugega informacijskega gradiva, ki jih agencija pošilja ali prejema, se nikakor ne sme omejevati.
10. ČLEN
Generalnemu direktorju agencije Republika Slovenija uradno sporoči naziv imenovanega organa oblasti, ki jo predstavlja pri izvajanju tega sporazuma, ter imena njegovega predstavnika in svetovalcev, ki se bodo udeleževali zasedanj, skladno s 6. členom tega sporazuma.
11. ČLEN
Pri izvajanju tega sporazuma je vsaka pogodbenica izključno odgovorna za vodenje svojih dejavnosti. Vsaka ima zlasti pravico do ugovora zoper drugo v zvezi s kakršno koli škodo, ki jo ta povzroči osebam ali na premoženju, druga drugo pa tudi varujeta pred vsakršnimi zahtevki tretje stranke glede škode, ki nastane v zvezi njuno dejavnostjo.
12. ČLEN
12.1 Vsak spor glede uporabe ali razlage tega sporazuma, ki ga pogodbenici ne moreta rešiti prijateljsko, se na zahtevo ene od njiju predloži arbitražnemu sodišču.
12.2 Arbitražno sodišče sestavljajo trije člani, enega arbitra imenuje agencija, drugega določi Republika Slovenija, tretjega, ki je tudi predsedujoči, pa izvolita prva dva arbitra. Če v šestih mesecih od dneva zahteve za arbitražo ena od strank ne imenuje svojega arbitra, ga na zahtevo druge stranke imenuje predsednik Meddržavnega sodišča. Enak postopek se uporabi, če v 30 dneh po določitvi ali imenovanju prvih dveh arbitrov ni izvoljen tretji arbiter.
12.3 Arbitražno sodišče uvede lastni postopek; njegova sodba je dokončna in zavezujoča.
13. ČLEN
Dodatka, priložena temu sporazumu, sta njegov sestavni del.
14. ČLEN
14.1 Ta sporazum začne veljati, ko ga podpišeta obe pogodbenici in ga Republika Slovenija v skladu s svojim pravnim redom potrdi ter finančno podpre okvirni program PECS iz 7. člena, kar je podrobno obrazloženo v dodatku I, razen pravil, navedenih pod A in B v dodatku II, ki veljajo po podpisu. Finančni prispevek za okvirni program PECS Republika Slovenija vplača najpozneje eno leto po podpisu tega sporazuma, razen če pogodbenici dogovorita drugačen rok. Če ga ne vplača v navedenem roku, je ta sporazum ničen in neveljaven.
14.2 Ta sporazum z dnem uveljavitve nadomesti sporazum o sodelovanju med pogodbenicama, naveden v preambuli, pri čemer se razume, da se določbe slednjega kljub temu še naprej uporabljajo, kolikor je nujno za zagotovitev izvajanja pogodb, ki so sklenjene na njegovi podlagi in še veljajo na dan, ko preneha veljati.
15. ČLEN
15.1 Če ta sporazum ne preneha veljati v skladu z določbami tretjega odstavka tega člena, preneha veljati pet let po dnevu uveljavitve. Eno leto pred iztekom njegove veljavnosti pogodbenici pregledata dosežke izvajanja sporazuma na podlagi ugotovitev letnih pregledov iz 8. člena ter preučita načine in sredstva za nadaljevanje ali nadaljnje razvijanje takega sodelovanja. Zlasti preučita možnost, da se Republiki Sloveniji podeli pravni položaj pridružene članice ali države članice agencije.
15.2 Ob morebitnem nadaljnjem sodelovanju se ta sporazum na podlagi medsebojnega pisnega dogovora lahko podaljša.
15.3 Katera koli pogodbenica lahko sporazum odpove z uradnim pisnim obvestilom najmanj eno leto pred predvidenim dnem prenehanja veljavnosti, ki sovpada s koncem koledarskega leta.
15.4 Prenehanje veljavnosti tega sporazuma ne vpliva na veljavnost tistih pravic in obveznosti ene ali druge pogodbenice, ki ne ugasnejo s prenehanjem njegove veljavnosti, ali na njegovo razlago v zvezi z, med drugim, arbitražo, zaupnostjo, odgovornostjo, pravico intelektualne lastnine, pa tudi ne na veljavnost pogodb, sklenjenih v skladu z njim. Po prenehanju veljavnosti tega sporazuma je Republika Slovenija zlasti zavezana poravnati svoj del plačilnih obveznosti, skladen s pogodbo v okviru potrjenega proračuna za tekoče ali prejšnje finančno leto v zvezi s PECS.
15.5 Pogodbenici se lahko medsebojno dogovorita o spremembah določb tega sporazuma. Spremembe, razen tistih, ki zadevajo izključno dodatka, začnejo veljati z dnem, ko druga drugo uradno obvestita o izpolnitvi potrebnih notranjih pogojev za začetek veljavnosti sprememb. Tiste, ki zadevajo izključno dodatka, se izvedejo v skladu s pogoji, navedenimi v dodatkih.
Sestavljeno v Noordwijku (Nizozemska) dne 22. januarja 2010 v dveh izvirnikih v angleškem jeziku. Agencija zagotovi prevod v francoski in nemški jezik.

Dodatek I Načrt za evropske sodelujoče države (PECS): cilji, pravila in postopki
I Cilji
I.1 Glavni cilj PECS
Glavni cilj PECS je povezati Republiko Slovenijo z agencijskimi programi in dejavnostmi ter jo kar najučinkoviteje pripraviti za morebitni poznejši pristop h konvenciji Evropske vesoljske agencije (ESA).
I.2 Posebni cilji PECS
a) Razvijati sodelovanje med znanstvenimi ter uporabniškimi skupnostmi v Republiki Sloveniji in državah članicah agencije.
b) Ustvarjati in krepiti ustrezne industrijske sposobnosti ter sposobnost Republike Slovenije, da se po njenem pristopu omogoči pošteno in pravično sodelovanje gospodarstva v prihodnjih programih agencije.
c) Zagotoviti posredni dostop do programov in dejavnosti agencije ter dostop do skupnih programov agencije in Evropske unije v skladu s pogoji veljavnih pravnih instrumentov.
d) Podpirati Republiko Slovenijo pri razumevanju organizacije agencije in delovanja evropskih vesoljskih izdelkov, standardov in postopkov.
e) Zagotoviti skladnost vesoljskih dejavnosti držav članic agencije in Republike Slovenije, npr. z izogibanjem nepotrebnemu podvajanju.
I.3 Področja in vrste dejavnosti, ki jih zajema PECS
I.3.1 PECS zajema štiri glavne skupine dejavnosti, opredeljene v I.3.2 tega dodatka, na naslednjih petih področjih:
a) znanost o vesolju, zlasti vesoljska astronomija in astrofizika, raziskovanje sončnega sistema in sončno-zemeljska fizika;
b) raziskave v zvezi z opazovanjem Zemlje in njihova uporaba, zlasti spremljanje stanja okolja, vremenoslovje, aeronomija in geodezija;
c) telekomunikacije, zlasti predstavitev storitev in satelitska navigacija;
d) mikrogravitacijske raziskave, zlasti vesoljska biologija in medicina ter predelovanje snovi;
e) zemeljska inženirska podpora in uporaba.
I.3.2 Skupine dejavnosti, zajete v PECS, so:
a) tehnologija in oprema iz izbirnih programov ESA, ki niso ključni za izvajanje programov agencije (''neključna tehnologija'');
b) znanstveni projekti in/ali poskusi;
c) uporaba podatkov;
d) podpora malim in srednje velikim podjetjem.
I.3.3 Podrobne dejavnosti, zajete v PECS, se opredelijo v obnovljivem petletnem načrtu, ki se prenovi na koncu četrtega leta vsakega petletnega obdobja, ob upoštevanju pogajanj o podaljšanju sporazuma med pogodbenicama za novo petletno obdobje, ki se začne z iztekom petega leta. Osnutek petletnega načrta odobri odbor za PECS in se vsako leto posodobi skladno s postopki tega dodatka.
II. Pravila in postopki
II.1 Izvajanje PECS
II.1.1 Agencija izvaja PECS v skladu s pravili in postopki, razen če ni v ciljih, pravilih in postopkih predvideno drugače.
II.1.2 V ta namen se ustanovi odbor (v nadaljnjem besedilu: odbor za PECS), ki spremlja in nadzoruje izvajanje PECS. Njegove pristojnosti in naloge ter poslovnik so opisani v dodatku II.
II.1.3 Državne ustanove v pristojnosti Republike Slovenije lahko, na pobudo agencije in s soglasjem Republike Slovenije, zagotovijo tehnično podporo za eno ali več dejavnosti, ki se izvajajo v skladu s PECS; po potrebi se taka podpora predvidi z izmenjavo pisem med zadevno ustanovo in agencijo, ki se pošljejo v vednost vsem drugim evropskim sodelujočim državam in Svetu agencije.
II.1.4 Agencija daje na voljo svoje objekte, naprave in storitve za dejavnosti, ki se bodo izvajale v skladu s PECS in določbami prve točke 3. člena tega sporazuma. Registriranim podjetjem v Republiki Sloveniji bo na voljo informacijski sistem agencije za zbiranje ponudb po elektronski pošti (EMITS) po teh pogojih:
a) dostop za branje programov agencije; in
b) neomejen dostop do dejavnosti, vključenih v PECS, ter dostop do skupnih programov agencije in Evropske unije v skladu s pogoji veljavnih pravnih instrumentov.
II.2 Vsebina PECS
Pred začetkom dejavnosti za prvo petletno obdobje agencija pripravi petletni PECS na podlagi vložkov, prejetih iz Republike Slovenije in držav članic, po tem postopku:
II.2.1 Agencija se z Republiko Slovenijo posvetuje o njenih željah glede neključne tehnologije.
II.2.2 Ob upoštevanju določb 6. člena sporazuma agencija pripravi predhodni osnutek petletnega PECS, ki se obravnava na vsakem programskem svetu in odboru, ter ga predloži v odobritev z dvotretjinsko večino glasov državam članicam ali zadevnim udeležencem, navedenim agencijskim odborom in programskim svetom, preden ga odobri odbor za PECS:
a) ustreznim agencijskim programskim svetom: z upoštevanjem vložkov Republike Slovenije pri razvoju in/ali fazi izkoriščanja sistemov in obremenitev/koristnih tovorov ali pri razvoju neključne tehnologije, ki jih bo prispevala na podlagi izbirnih programov agencije;
b) programskemu svetu za znanost (SPC): z upoštevanjem vložkov Republike Slovenije pri razvoju in/ali fazi izkoriščanja ali pri razvoju neključne tehnologije, ki jih bo prispevala na podlagi znanstvenih projektov agencije;
c) odboru za industrijsko politiko (IPC): glede vključitve v svoj PECS razvoja tehnologij, navedenih v glavnem načrtu agencijske tehnologije, ki jih bo prispevala Republika Slovenija, ali glede razvoja neključne tehnologije na tem področju in pri dejavnostih, ki jih bo Republika Slovenija izvajala v podporo malim in srednje velikim podjetjem.
Če je dejavnost iz PECS vključena v dejavnosti iz priloge A k programu izjave, ki je v uporabi ali postopku dokončne obdelave, se ustrezna izjava ali njen osnutek spremeni/dopolni ali pa se vložek za PECS temu ustrezno prizna.
Odbor za industrijsko politiko (IPC) prav tako pregleda in z navadno večino glasov vseh držav članic odobri vidike industrijske politike v PECS, preden ga predloži v odobritev odboru za PECS.
II.2.3 Agencija nato pripravi prečiščeni PECS na podlagi elementov, ki jih odobrijo ustrezni odbori in programski sveti, preden ga pregleda in odobri odbor za PECS. Republika Slovenija na tej stopnji obvesti agencijo in odbor za PECS o dejavnostih, ki jih želi podpreti, ob upoštevanju ujemanja in dopolnjevanja slovenskega gospodarstva z državami članicami agencije, ter le-tej potrdi svoj predvideni prispevek k financiranju zadevnih dejavnosti.
II.2.4 Preden odbor za PECS odobri petletni PECS, vse spremembe v vsebini predlaganih dejavnosti, ki jih zahteva, razen črtanih dejavnosti, predloži v pregled ustreznim odborom in programskim svetom. Ti pa nato svojo potrditev predlaganih sprememb predložijo v odobritev odboru za PECS.
II.2.5 Ko odbor za PECS odobri petletni PECS, agencija na podlagi PECS pripravi poseben dokument (v nadaljnjem besedilu: okvirni program PECS') (naveden v prvem odstavku 14. člena), ki Republiki Sloveniji omogoča finančno zavezo glede PECS. Okvirni program PECS vključuje navedbo dejavnosti, ki jih financira Republika Slovenija, kakor je opredeljeno v odobrenem PECS, in prikazuje pripadajoči finančni vložek, ki ga vpiše Republika Slovenija, vključno z njenim finančnim deležem pri notranjih stroških agencije iz odstavka II.4, skupaj z ustrezno okvirno razčlenitvijo in časovnim razporedom plačil. Agencija predloži Republiki Sloveniji okvirni program PECS za vpis vložka in ga nato izroči v vednost odboru za PECS.
II.2.6 PECS se med petletnem trajanjem enkrat na leto lahko pregleda in posodobi, da se upoštevajo nove dejavnosti, ki jih predlaga agencija in za katere Republika Slovenija ali druge evropske sodelujoče države izrazijo zanimanje. Pred potrditvijo letne revizije PECS to najprej potrdijo ustrezni agencijski odbori in programski sveti. Če se zaradi v prejšnjem odstavku navedenega postopka PECS dodajo nove dejavnosti, agencija ustrezno dopolni okvirni program PECS, Republika Slovenija pa mora soglašati s povečanim vložkom, če se poveča, kakor je prikazano v posodobljenem okvirnem programu PECS.
II.3 Načela industrijske politike
II.3.1 PECS mora temeljiti na zajamčenem koeficientu donosa 1 glede na območje. Donos glede na geografsko območje se izračuna v skladu z Resolucijo o uredbi o izračunu koeficientov donosa glede na geografska območja (ESA/CXXXVIII/Res. 6 (končna)), ki jo je sprejel Svet agencije.
II.3.2. Pri opredelitvi vsebine petletnega PECS in vsake njegove revizije se uporabljajo ta načela industrijske politike:
a) neizkrivljanje konkurence;
b) dopolnjevanje z obstoječim strokovnim znanjem in izkušnjami v državah članicah;
c) dopolnjevanje z dejavnostmi, ki se izvajajo po odobrenih programih v evropskih sodelujočih državah;
d) učinek na razvoj uporabe storitev, ki izhajajo iz evropskih sredstev za vesolje;
e) tehnološka vrednost za agencijo s poudarkom na:
- inovacijski sposobnosti,
- združljivosti z evropskim glavnim tehnološkim načrtom in/ali prihodnjimi programskimi potrebami agencije;
f) spodbuda evropskemu industrijskemu povezovanju;
g) odpiranje novih trgov za konkurenčne dobavitelje;
h) vključitev malih in srednje velikih podjetij.
II.3.3 Tudi odbor za industrijsko politiko uporablja ta merila pri preučitvi in pregledu osnutka PECS.
II.4 Finančne zadeve
II.4.1 Evropske sodelujoče države financirajo PECS s svojimi vložki v skladu s pravili in po postopkih agencije, kar se kaže z vpisanim vložkom Republike Slovenije v okvirnem programu PECS v skladu s postopki iz odstavka II.2; Republika Slovenija za vodenje programa krije notranje stroške agencije v višini 7-odstotne nespremenljive mere letnega finančnega vložka, zajetega v okvirnem programu, ki se vsako leto postopno povečuje, tako da se po petletnem obdobju PECS pokrijejo celotni stroški.
II.4.2 Najmanjši finančni vložek, ki se zahteva za sodelovanje vsake evropske sodelujoče države pri PECS za petletno obdobje, znaša pet milijonov EUR glede na ekonomsko stanje v letu 2001.
II.4.3 Delo se lahko začne takoj, ko evropska sodelujoča država vpiše vložek v okvirni program PECS.
II.4.4 Republika Slovenija nato lahko enkrat na leto poveča svoj finančni vložek v PECS, če tako povečanje ne povzroči dodatnih stroškov preostalim evropskim sodelujočim državam.
II.4.5 Pri pogodbah, ki se sofinancirajo skupaj z izbranim podjetjem ali z drugimi sredstvi, se delež pri notranjih stroških agencije izračuna na podlagi celotne pogodbene vrednosti, če ni dogovorjeno drugače.
II.4.6 Ne glede na določbe 18. člena finančnih predpisov agencije se vsak neporabljen znesek na koncu finančnega leta samodejno prenese v naslednje leto.
II.4.7 Na koncu petletnega obdobja, ki ga pokriva PECS, se finančni vložek Republike Slovenije, ki ni rezerviran za izvedbo ustreznega dela, uporabi za financiranje dejavnosti, načrtovanih za naslednje petletno obdobje, zajeto s PECS, če Republika Slovenija ne zahteva drugače.
II.4.8 Ob prenehanju veljavnosti tega sporazuma Republika Slovenija lahko svoj finančni vložek, ki se ne porabi v skladu s PECS, razporedi za drug program agencije, pri katerem sodeluje, če postane država članica ali pridružena članica, lahko pa ga glede na svojo odločitev porabi drugače.
II.5 Pogodbene zadeve
II.5.1 Agencija sklepa pogodbe, ki so nujne za izvajanje PECS, v skladu s pravili in po postopkih z uporabo splošnih določb in pogojev za pogodbe evropskih sodelujočih držav; v vseh pogodbah se zneski navedejo v EUR.
II.5.2 Dodelitev sredstev po pogodbi, ki jih vpiše agencija, se omeji na razpoložljiva sredstva. Agencija ne objavi javnega razpisa za zbiranje ponudb, kadar financiranje dejavnosti glede na oceno stroškov v delovnem načrtu ne zadošča.
II.5.3 Dejavnosti se na splošno izvajajo po postopku javnega natečaja v evropskih sodelujočih državah, ki izrazijo zanimanje zanje.
II.5.4 Agencija pri sofinanciranih dejavnostih ohrani popolno preglednost nad načrtovanimi in dejansko nastalimi izdatki izvajalca ter nad izvorom vseh sredstev za izvajanje pogodbe. Po potrebi to lahko vključuje pravico do revizije s strani ali v imenu agencije.
II.5.5 Vsaka pravica intelektualne lastnine, ki izvira iz poleta s koristnim tovorom v orbito, vključenega v dejavnosti iz PECS, se ureja s pravili agencije.
II.6 Končne določbe
II.6.1 Ob upoštevanju ciljev projekta sodelovanja je Republika Slovenija praviloma lastnica sredstev, ki se zbirajo in financirajo na podlagi PECS, ter objektov, naprav in opreme, pridobljenih za izvedbo projekta, pri čemer se upoštevajo načela, ki urejajo pogodbe agencije.
II.6.2 Za spremembe tega prvega dodatka je potrebno soglasje pogodbenic.
Dodatek II Odbor za Načrt za evropske sodelujoče države (odbor za PECS)
Pristojnosti in naloge ter poslovnik
A. Pristojnosti in naloge
Odbor za PECS, ki deluje v sodelovanju z agencijo, spremlja in nadzira izvajanje PECS v skladu s cilji in pravili ter po postopkih, določenih v dodatku I k temu sporazumu. Zato:
1. pregleda in odobri z navadno večino glasov evropskih sodelujočih držav, potem ko prejme uradno obvestilo o soglasju ustreznih pomožnih teles Sveta agencije, osnutek petletnega PECS iz odstavka II.2, cilje, pravila in postopke PECS ter njihove morebitne spremembe.
Pravica do glasovanja o osnutku petletnega PECS se podeli tudi vsem možnim evropskim sodelujočim državam, s katerimi je sporazum že podpisan, ni pa še začel veljati;
2. odloča v skladu s petim poglavjem svojega poslovnika o jeziku, v katerem se bodo vodile seje odbora, ta odločitev pa se sprejme z navadno večino evropskih sodelujočih držav;
3. se seznani s finančnimi vložki ali njihovim povečanjem, ki jih udeleženci prispevajo za PECS, kakor prikazuje okvirni program PECS;
4. sprejema informacije o tehnični podpori, ki jo zagotovi državna ustanova v pristojnosti evropske sodelujoče države, kakor je navedeno v ciljih, pravilih in postopkih PECS;
5. odobri pristojnosti, naloge in poslovnik ter njihove morebitne spremembe.
Dodatek II Odbor za PECS
B. Poslovnik
Prvo poglavje Sestava
1.1 Odbor za PECS sestavljajo izključno predstavniki evropskih sodelujočih držav.
1.2 Zasedanj odbora se kot opazovalec lahko udeležuje po en predstavnik vsake države članice agencije. Predsedniki upravnega in finančnega odbora, odbora za industrijsko politiko in odbora za znanstveni program agencije so vabljeni, da se jih udeležijo po uradni dolžnosti s statusom opazovalca.
1.3 Vsako evropsko sodelujočo državo praviloma lahko zastopata največ dva predstavnika. Pristojni državni organ jima za udeležbo izda poverilno pismo, ki ga morata predložiti predsedniku.
1.4 Delegate lahko spremljajo svetovalci. Imena in stroka svetovalcev se uradno sporočijo generalnemu direktorju agencije pred začetkom sodelovanja pri delu na zasedanju odbora.
Drugo poglavje Predsedovanje
2.1 Odbor med predstavniki evropskih sodelujočih držav za eno leto izvoli predsednika in podpredsednika.
2.2 Če predsednik ne more izpolnjevati svojih nalog, v njegovem imenu predseduje podpredsednik. Vršilec dolžnosti predsednika ima enaka pooblastila in naloge kakor predsednik.
2.3 Predsednik vodi posvetovanja odbora in ne more biti predstavnik sodelujoče države. Svoje naloge opravlja pod vodstvom odbora.
2.4 Evropska sodelujoča država, katere predstavnik opravlja naloge predsednika, med trajanjem te funkcije namesto njega imenuje drugega predstavnika.
Tretje poglavje Zasedanja
3.1 Odbor se praviloma sestaja v prostorih agencije, na splošno največ dvakrat na leto takoj po zasedanju odbora za industrijsko politiko (IPC) ali finančnega odbora (AFC).
3.2 Vsi udeleženci se na začetku vsakega zasedanja podpišejo na seznam, ki jim ga izroči predsednik.
3.3 Navzočnost predstavnikov držav članic agencije ter predsednikov AFC, IPC in SPC na zasedanju odbora nikakor ne vključuje njihove pravice do glasovanja.
3.4 Odbor na vsakem svojem zasedanju določi datum naslednjega zasedanja. Predsednik po potrebi lahko spremeni že določeni datum.
3.5 Predsednik lahko skliče izredno zasedanje odbora na svojo pobudo ali na zahtevo večine evropskih sodelujočih držav. Zasedanja poskuša organizirati v povezavi z zasedanji IPC ali AFC.
3.6 Generalni direktor agencije med zaposlenimi imenuje člana, ki opravlja funkcijo sekretarja odbora.
3.7 Sekretar po posvetovanju s predsednikom pripravi osnutek dnevnega reda in ga pošlje evropskim sodelujočim državam najpozneje štirinajst dni pred zasedanjem.
3.8 Odbor razpravlja o osnutku dnevnega reda in ga po morebitnih potrebnih dopolnitvah sprejme takoj po začetku zasedanja. Osnutku dnevnega reda se lahko dodajo druge točke, vendar pa se zanje lahko odločijo samo, če s tem soglašajo vse navzoče evropske sodelujoče države.
3.9 Na zasedanju odbora so lahko navzoči uslužbenci agencije, ki jih imenuje njen generalni direktor.
3.10 Vsaka evropska sodelujoča država ima en glas.
3.11 Odločitve se sprejemajo in se zanje glasuje z navadno večino glasov navzočih evropskih sodelujočih držav, razen če ni predvideno drugače.
3.12 Poslovnik se izvaja, da se olajša izpolnjevanje ciljev PECS, in se v celoti uporablja, ko se najmanj tri evropske sodelujoče države pridružijo odboru za PECS.
Četrto poglavje Naloge predsednika in vodenje dejavnosti
4.1 Predsednik ob upoštevanju določb tega poslovnika vodi posvetovanja odbora in med zasedanjem vzdržuje red. Napove začetek in konec vsakega zasedanja, vodi razprave in jih po potrebi povzame, zagotovi spoštovanje poslovnika, odobri ali vzame besedo, odloča o točkah sklepov/dnevnega reda, daje predloge na glasovanje in razglaša sklepe. Predlaga lahko bodisi preložitev ali zaključek razprave bodisi preložitev ali prekinitev zasedanja. Pred vsakim glasovanjem preveri sklepčnost skladno z odstavkom 4.10 tega dodatka.
4.2 Nihče ne more dobiti besede brez predsednikovega dovoljenja. Ob upoštevanju določb odstavka 4.3 predsednik povabi govornike k besedi po vrstnem redu, po katerem so zaprosili zanjo. Lahko tudi opomni na red govornika, čigar pripombe se ne nanašajo na obravnavano temo.
4.3 Evropske sodelujoče države med zasedanjem lahko premaknejo točko dnevnega reda. Predsednik se takoj odloči o tej pobudi. Vsaka evropska sodelujoča država se lahko pritoži zoper njegovo odločitev, v takem primeru se o pritožbi razpravlja in glasuje. Predsednikova odločitev velja, če pritožbe ne podpre večina navzočih evropskih sodelujočih držav in zanjo ne glasuje. Evropska sodelujoča država, ki predlaga spremembo dnevnega reda, ob tem ne more razpravljati o vsebini.
4.4 Prednost pred vsemi drugimi predlogi ali pobudami imajo po navedenem vrstnem redu pobude za:
a) prekinitev seje,
b) končanje seje,
c) preložitev obravnavanega vprašanja,
d) zaključek razprave o obravnavanem vprašanju.
4.5 O vsakem predlogu v njegovi končni obliki se glasuje. Na zasedanju se predloži v pisni obliki, če evropska sodelujoča država tako zahteva. V tem primeru predsednik predloga na zasedanju ne predloži, dokler evropske sodelujoče države, ki to želijo, ne dobijo tega besedila.
4.6 Kadar se predlaga sprememba predloga, se o tem najprej glasuje. Pri predlogu dveh ali več sprememb odbor najprej glasuje o tisti, za katero se predsednik odloči, da je po vsebini najbolj oddaljena od prvotnega predloga. Kadar sprejetje ene spremembe nujno pomeni zavrnitev druge, o drugi ni treba glasovati.
4.7 Vsaka evropska sodelujoča država lahko zahteva, da se o posameznih delih spremembe glasuje ločeno. Če ta zahteva sproži ugovor, se o predlogu za delitev spremembe glasuje.
4.8 Če evropska sodelujoča država tako zahteva, odbor nato glasuje o končnem spremenjenem predlogu.
4.9 Kadar sta v zvezi z eno in isto zadevo predlagana dva predloga ali več, se o njih glasuje po predlaganem vrstnem redu, če odbor ne odloči drugače. Po vsakem glasovanju se odbor lahko odloči, ali se o naslednjem predlogu glasuje ali ne.
4.10 Kadar koli se v skladu z določbami odstavka 3.12 zgoraj ta poslovnik uporablja v celoti, je nujna navzočnost predstavnikov iz večine evropskih sodelujočih držav, da se na katerem koli zasedanju odbora za PECS zagotovi sklepčnost.
Peto poglavje Jeziki
Zasedanja odbora se vodijo v enem izmed delovnih jezikov agencije, ki ga izbere odbor za PECS. Vsi dokumenti za zasedanja se pripravijo v izbranem jeziku.
Šesto poglavje Zapisnik
6.1 Po vsakem zasedanju odbora njegov sekretar pripravi osnutek zapisnika, ki navaja vsebino razprav, in vanj vnese dogovorjene sklepe.
6.2 Osnutek zapisnika se razpošlje čim prej po koncu zasedanja.
6.3 Evropske sodelujoče države pošljejo predloge za spremembe osnutka zapisnika sekretarju odbora v pisni obliki v treh tednih po dnevu prejetja osnutka.
6.4 Odbor na začetku vsakega zasedanja po obravnavi predložene spremembe odobri zapisnik prejšnjega zasedanja.
Sedmo poglavje Spremembe
Odbor za PECS lahko spremeni svoje pristojnosti in naloge ter poslovnik, pri tem pa je potrebno pisno soglasje agencije.
3. člen
Za izvajanje tega sporazuma skrbi Ministrstvo za visoko šolstvo, znanost in tehnologijo.
4. člen
Ta uredba začne veljati petnajsti dan po objavi v Uradnem listu Republike Slovenije - Mednarodne pogodbe.
