O RATIFIKACIJI SPORAZUMA O POSPEŠEVANJU IN MEDSEBOJNI ZAŠČITI NALOŽB MED VLADO REPUBLIKE SLOVENIJE IN VLADO KRALJEVINE NIZOZEMSKE S PROTOKOLOM (BNLPMZN)
1. člen
Ratificira se Sporazum o pospeševanju in medsebojni zaščiti naložb med Vlado Republike Slovenije in Vlado Kraljevine Nizozemske s protokolom, podpisan v Ljubljani 24. septembra 1996.

ON ENCOURAGEMENT AND RECIPROCAL
PROTECTION OF INVESTMENTS BETWEEN
THE GOVERNMENT OF THE REPUBLIC OF SLOVENIA AND THE GOVERNMENT OF THE KINGDOM OF THE NETHERLANDS
The Government of the Republic of Slovenia
and
the Government of the Kingdom of the Netherlands,
hereinafter referred to as the Contracting Parties,
Desiring to strengthen the traditional ties of friendship between their countries, to extend and intensify the economic relations between them particularly with respect to investments by the nationals of one Contracting Party in the territory of the other Contracting Party,
Recognizing that agreement upon the treatment to be accorded to such investments will stimulate the flow of capital and technology and the economic development of the Contracting Parties and that fair and equitable treatment of investment is desirable,
Have agreed as follows:
Article 1
For the purposes of this Agreement:
(a) the term “investments“ means every kind of asset and more particularly, though not exclusively:
(i) movable and immovable property as well as any other rights in rem in respect of every kind of asset;
(ii) rights derived from shares, bonds and other kinds of interests in companies and joint ventures;
(iii) claims to money, to other assets or to any performance having an economic value;
(iv) rights in the field of intellectual property, technical processes, goodwill and know-how;
(v) rights granted under public law or under contract, including rights to prospect, explore, extract and win natural resources.
(b) the term “nationals“ shall comprise with regard to either Contracting Party:
(i) natural persons having the nationality of that Contracting Party;
(ii) legal persons constituted under the law of that Contracting Party;
(iii) legal persons not constituted under the law of that Contracting Party but controlled, directly or indirectly, by natural persons as defined in (i) or by legal persons as defined in (ii) above.
(c) the term “territory“ includes the maritime areas adjacent to the coast of the State concerned, to the extent to which that State exercises sovereign rights or jurisdiction in those areas according to international law.
Article 2
Either Contracting Party shall, within the framework of its laws and regulations, promote economic cooperation through the protection in its territory of investments of nationals of the other Contracting Party. Subject to its right to exercise powers conferred by its laws or regulations, each Contracting Party shall admit such investments.
Article 3
(1) Each Contracting Party shall ensure fair and equitable treatment of the investments of nationals of the other Contracting Party and shall not impair, by unreasonable or discriminatory measures, the operation, management, maintenance, use, enjoyment or disposal thereof by those nationals. Each Contracting Party shall accord to such investments full security and protection.
(2) More particularly, each Contracting Party shall accord to such investments treatment which in any case shall not be less favourable than that accorded either to investments of its own nationals or to investments of nationals of any third State, whichever is more favourable to the national concerned.
(3) If a Contracting Party has accorded special advantages to nationals of any third State by virtue of agreements establishing customs unions, economic unions, monetary unions or similar institutions, or on the basis of interim agreements leading to such unions or institutions, that Contracting Party shall not be obliged to accord such advantages to nationals of the other Contracting Party.
(4) Each Contracting Party shall observe any obligation it may have entered into with regard to investments of nationals of the other Contracting Party.
(5) If the provisions of law of either Contracting Party or obligations under international law existing at present or established hereafter between the Contracting Parties in addition to the present Agreement contain a regulation, whether general or specific, entitling investments by nationals of the other Contracting Party to a treatment more favourable than is provided for by the present Agreement, such regulation shall to the extent that it is more favourable prevail over the present Agreement.
Article 4
With respect to taxes, fees, charges and to fiscal deductions and exemptions, each Contracting Party shall accord to nationals of the other Contracting Party who are engaged in any economic activity related to an investment in its territory, treatment not less favourable than that accorded to its own nationals or to those of any third State that are in the same circumstances, whichever is more favourable to the nationals concerned. For this purpose, however, there shall not be taken into account any special fiscal advantages accorded by that Party:
a) under an agreement for the avoidance of double taxation; or
b) by virtue of its participation in a customs union, economic union or similar institution; or
c) on the basis of reciprocity with a third State.
Article 5
The Contracting Parties shall guarantee that payments relating to an investment may be transferred. The transfers shall be made in a freely convertible currency, without restriction or delay. Such transfers include in particular though not exclusively:
a) profits, interest, dividends and other such income;
b) funds necessary
(i) for the acquisition of raw or auxiliary materials, semi-fabricated or finished products, or
(ii) to replace capital assets in order to safeguard the continuity of an investment;
c) additional funds necessary for the development of an investment;
d) funds in repayment of loans;
e) royalties or fees;
f) earnings of natural persons;
g) the proceeds of sale or liquidation of the investment;
h) payments arising under Article 7.
Article 6
Neither of Contracting Parties shall take, either directly or indirectly, measures of expropriation, nationalization or any other measures depriving nationals of the other Contracting Party of their investments, unless:
a) the measures are taken in the public interest and under due process of law;
b) the measures are not discriminatory or contrary to any undertaking which the Contracting Party which takes such measures may have given;
c) the measures are taken against just compensation. Such compensation shall represent the genuine value of the investments affected, shall include interest at a normal commercial rate until the date of payment and shall, in order to be effective for the claimants, be paid and made transferable, without delay, to the country designated by the claimants concerned and in the currency of the country of which the claimants are nationals or in any freely convertible currency accepted by the claimants.
Article 7
Nationals of the one Contracting Party who suffer losses in respect of their investments in the territory of the other Contracting Party owing to war or other armed conflict, revolution, a state of national emergency, revolt, insurrection or riot shall be accorded by the latter Contracting Party treatment, as regards restitution, indemnification, compensation or other settlement, no less favourable than that which that Contracting Party accords to its own nationals or to nationals of any third State, whichever is more favourable to the nationals concerned.
Article 8
If the investments of a national of the one Contracting Party are insured against non-commercial risks or otherwise give rise to payment of indemnification in respect of such investments under a system established by law, regulation or government contract any subrogation of the insurer or re-insurer or Agency designated by the one Contracting Party to the rights of the said national pursuant to the terms of such insurance or under any other indemnity given shall be recognized by the other Contracting Party.
Article 9
Each Contracting Party hereby consents to submit any dispute arising between that Contracting Party and a national of the other Contracting Party concerning an investment of that national in the territory of the former Contracting Party which they can not solve amicably within three months from the date of a request for amicable settlement, to the International Centre for Settlement of Investment Disputes for settlement by conciliation or arbitration under the Convention on the Settlement of Investment Disputes between States and Nationals of other States opened for signature at Washington on 18 March 1965.
A legal person which is a national of one Contracting Party and which before such a dispute arises is controlled by nationals of the other Contracting Party shall in accordance with Article 25 (2) (b) of the Convention for the purpose of the Convention be treated as a national of the other Contracting Party.
Article 10
(1) The provisions of this Agreement shall, from the date of entry into force thereof, also apply to investments which have been made before that date.
(2) Investors referred to in Article 1 paragraph (b) (iii) may not rise a claim based on this Agreement if in respect of the same matter the provision of another investment protection agreement have been invoked.
Article 11
Either Contracting Party may propose the other Contracting Party that consultations be held on any matter concerning the interpretation or application of the Agreement. The other Contracting Party shall accord sympathetic consideration to the proposal and shall afford adequate opportunity for such consultations.
Article 12
(1) Any dispute between the Contracting Parties concerning the interpretation or application of the present Agreement, which cannot be settled by means of diplomatic negotiations within three month after the beginning of the dispute, shall, unless the Contracting Parties have otherwise agreed, be submitted, at the request of either Contracting Party, to an arbitral tribunal, composed of three members. Each Contracting Party shall appoint one arbitrator and the two arbitrators thus appointed shall together appoint a third arbitrator as their chairman who is not a national of either Contracting Party.
(2) If one of the Contracting Parties fails to appoint its arbitrator and has not proceeded to do so within two months after an invitation from the other Contracting Party to make such appointment, the latter Contracting Party may invite the President of the International Court of Justice to make the necessary appointment.
(3) If the two arbitrators are unable to reach agreement, in the two months following their appointment, on the choice of the third arbitrator, either Contracting Party may invite the President of the International Court of Justice, to make the necessary appointment.
(4) If, in the cases provided for in the paragraphs (2) and (3) of this Article, the President of the International Court of Justice is prevented from discharging the said function or is a national of either Contracting Party, the Vice-President shall be invited to make the necessary appointments. If the Vice-President is prevented from discharging the said function or is a national of either Contracting Party the most senior member of the Court available who is not a national of either Contracting Party shall be invited to make the necessary appointments.
(5) The tribunal shall decide on the basis of respect for the law. Before the tribunal decides, it may at any stage of the proceedings propose to the Contracting Parties that the dispute be settled amicably. The foregoing provisions shall not prejudice settlement of the dispute ex aequo et bono if the Contracting Parties so agree.
(6) Unless the Contracting Parties decide otherwise, the tribunal shall determine its own procedure.
(7) The tribunal shall reach its decision by a majority of votes. Such decision shall be final and binding on the Contracting Parties.
Article 13
As regards the Kingdom of the Netherlands, the present Agreement shall apply to the part of the Kingdom in Europe, the Netherlands Antilles and to Aruba.
Article 14
(1) The present Agreement shall enter into force on the first day of the second month following the date on which the Contracting Parties have notified each other in writing that the procedures constitutionally required in their respective countries have been complied with, and shall remain in force for a period of fifteen years.
(2) Unless written notice of termination has been given by either Contracting Party at least six months before the date of the expiry of its validity, the present Agreement shall be extended tacitly for periods of ten years, whereby each Contracting Party reserves the right to terminate the Agreement upon notice of at least six months before the date of expiry of the current period of validity.
(3) In respect of investments made before the date of the termination of the present Agreement the foregoing Articles shall continue to be effective for a further period of fifteen years from that date.
(4) Subject to the period mentioned in paragraph (2) of this Article, the Government of the Kingdom of the Netherlands shall be entitled to terminate the application of the present Agreement separately in respect of any of the parts of the Kingdom.
(5) Upon entry into force of this Agreement the Agreement on the Protection of Investments between the Socialist Federal Republic of Yugoslavia and the Kingdom of Netherlands, signed on the 16th February 1976, shall be replaced by this Agreement in relation between the Republic of Slovenia and the Kingdom of the Netherlands.
IN WITNESS WHEREOF, the undersigned representatives, duly authorized thereto, have signed the present Agreement.

PROTOCOL
At the signing of the Agreement on Encouragement and Reciprocal Protection of Investments between the Government of the Republic of Slovenia and the Government of the Kingdom of the Netherlands, the authorized signatories agreed also on the following provisions which are considered as part of the Agreement:
With reference to Article 1 (b) (iii) of this Agreement:
Indirect control of an investment means control in fact, determined after examination of the actual circumstances in each situation. In any such examination, all relevant factors should be considered, including the investor’s:
(a) financial interest, including equity interest, in the investment;
(b) ability to exercise substantial influence over the management and operation of the investment; and
(c) ability to exercise substantial influence over the selection of members of the board of director or any other managing body.
Where there is doubt as to whether an investor controls, directly or indirectly, an investment, an investor claiming such control has the burden of proof that such control exists.

S P O R A Z U M
O POSPEŠEVANJU IN MEDSEBOJNI ZAŠČITI NALOŽB MED VLADO REPUBLIKE SLOVENIJE IN VLADO KRALJEVINE NIZOZEMSKE
Vlada Republike Slovenije
in
Vlada Kraljevine Nizozemske,
v nadaljevanju pogodbenici,
sta se v želji, da utrdita tradicionalne vezi prijateljstva med svojima državama ter razširita in okrepita gospodarske odnose med njima zlasti v zvezi z naložbami državljanov ene pogodbenice na ozemlju druge pogodbenice;
v spoznanju, da bo sporazum o obravnavanju takih naložb spodbujal pretok kapitala in tehnologije ter gospodarski razvoj pogodbenic in da je zaželeno pošteno in enakopravno obravnavanje naložb,
dogovorili:
1. člen
Za namene tega sporazuma:
(a) izraz “naložbe“ pomeni vsako vrsto sredstev in zlasti, vendar ne izključno:
(i) premičnine in nepremičnine kakor tudi katere koli druge stvarne pravice v zvezi s katero koli vrsto sredstev;
(ii) pravice, ki izhajajo iz delnic, obveznic in drugih vrst udeležbe v družbah in skupnih vlaganjih;
(iii) pravice do denarja, drugih sredstev ali kakršnih koli zahtevkov za storitve, ki imajo gospodarsko vrednost;
(iv) pravice s področja intelektualne lastnine, tehnoloških postopkov, poslovne vrednosti firme ter znanja in izkušenj;
(v) pravice, podeljene po javnem pravu ali po pogodbi, vključno s pravicami do iskanja, črpanja, izkoriščanja in pridobivanja naravnih bogastev.
(b) Izraz “državljani“ pokriva v zvezi z eno ali drugo pogodbenico:
(i) fizične osebe, ki imajo državljanstvo te pogodbenice:
(ii) pravne osebe, ustanovljene po zakonih te pogodbenice;
(iii) pravne osebe, ki sicer niso ustanovljene po zakonih te pogodbenice, ampak so direktno ali indirektno kontrolirane s strani fizičnih oseb, kot je določeno v (i) ali s strani pravnih oseb, kot je določeno v točki (ii).
(c) Izraz “ozemlje“ vključuje morska območja ob obali države v takem obsegu, kot ta država na tem ozemlju uresničuje svoje suverene pravice ali jurisdikcijo po mednarodnem pravu.
2. člen
Vsaka od pogodbenic v okviru svojih zakonov in predpisov pospešuje gospodarsko sodelovanje tako, da ščiti naložbe državljanov druge pogodbenice na svojem ozemlju. Vsaka pogodbenica odobrava take naložbe pod pogoji, ki jih določajo njeni zakoni in predpisi.
3. člen
(1) Vsaka pogodbenica zagotovi pošteno in enakopravno obravnavanje naložb državljanov druge pogodbenice in z neutemeljenimi ali diskriminacijskimi ukrepi ne ovira teh državljanov pri poslovanju, upravljanju, vzdrževanju, uporabi in uživanju teh naložb ali pri razpolaganju z njimi. Vsaka pogodbenica zagotavlja takim naložbam popolno varnost in zaščito.
(2) Še zlasti vsaka pogodbenica takih naložb v nobenem primeru ne obravnava manj ugodno kot naložbe svojih lastnih državljanov ali kot naložbe državljanov katere koli druge države, kar je pač za prizadetega državljana ugodnejše.
(3) Če je pogodbenica priznala posebne ugodnosti državljanom kake druge države na podlagi sporazumov o ustanovitvi carinskih unij, gospodarskih unij, denarnih unij ali podobnih ustanov ali pa na podlagi začasnih sporazumov, ki vodijo v take unije ali ustanove, ta pogodbenica ni zavezana dati takih ugodnosti tudi državljanom druge pogodbenice.
(4) Vsaka pogodbenica spoštuje vse obveznosti, ki jih je prevzela v zvezi z naložbami državljanov druge pogodbenice.
(5) Če zakonske določbe ene ali druge pogodbenice ali pa poleg tega sporazuma že obstoječe ali kasneje ustanovljene obveznosti med pogodbenicama po mednarodnem pravu vsebujejo kak splošen ali določen predpis, ki daje naložbam državljanov druge pogodbenice pravico do ugodnejšega obravnavanja, kot je predvideno po tem sporazumu, potem tak predpis, če je ugodnejši, prevlada nad tem sporazumom.
4. člen
V zvezi z davki, pristojbinami, dajatvami in davčnimi olajšavami in oprostitvami vsaka pogodbenica državljane druge pogodbenice, ki so vključeni v kakršno koli gospodarsko dejavnost, povezano z naložbo na njenem ozemlju, ne obravna manj ugodno kot svoje lastne državljane ali kot državljane katere koli druge države v enakih okoliščinah, kar je pač za te državljane ugodnejše. V ta namen pa se ne smejo upoštevati nobene posebne davčne ugodnosti, ki jih ta pogodbenica priznava:
a) po sporazumu o izogibanju dvojnemu obdavčenju ali
b) na podlagi svoje udeležbe v carinski uniji, gospodarski uniji ali podobni ustanovi ali
c) na podlagi vzajemnosti s kako drugo državo.
5. člen
Pogodbenici jamčita, da se bodo plačila v zvezi z naložbo lahko prenašala. Prenosi so v prosto zamenljivi valuti brez omejitev ali zamud. Prenašajo se zlasti, vendar ne izključno:
a) dobički, obresti, dividende in drugi taki dohodki;
b) denarna sredstva, potrebna za
(i) nabavo surovin ali pomožnih materialov, polizdelkov ali gotovih izdelkov ali
(ii) nadomestitev osnovnih sredstev, da se zagotovi varnost v nadaljevanju naložbe;
c) dodatna denarna sredstva, potrebna za razvoj naložbe;
d) denarna sredstva za odplačilo posojil:
e) licenčnine ali nadomestila;
(f) zaslužki fizičnih oseb;
g) prihodki od prodaje ali likvidacije naložbe;
h) izplačila po 7. členu.
6. člen
Nobena pogodbenica ne bo niti posredno niti neposredno uvedla ukrepov razlastitve, nacionalizacije ali kakih drugih ukrepov, s katerimi bi državljanom druge pogodbenice odvzeli njihove naložbe, razen če:
a) so ukrepi sprejeti v javnem interesu in po predpisanem zakonskem postopku;
b) ukrepi niso diskriminacijski ali v nasprotju s kakršno koli obljubo, ki jo je dala pogodbenica, ki sprejme take ukrepe;
c) so ukrepi sprejeti proti pošteni odškodnini. Taka odškodnina pomeni dejansko vrednost prizadetih naložb, vključuje tudi obresti po normalni tržni obrestni meri do dneva izplačila in mora biti, da je za upravičence učinkovita, izplačana in brez zavlačevanja prenosljiva v državo, ki jo določi prizadeti upravičenec, in to v valuti države, katere državljan je upravičenec, ali v kateri koli prosto zamenljivi valuti, ki jo upravičenec sprejme.
7. člen
Državljanom ene pogodbenice, ki so oškodovani pri svojih naložbah na ozemlju druge pogodbenice zaradi vojne ali drugih oboroženih spopadov, revolucije, izrednega stanja, upora, vstaje ali notranjih nemirov, zagotavlja ta druga pogodbenica glede vzpostavitve prejšnjega stanja, odškodnine, nadomestila ali druge poravnave enako ugodno obravnavanje kot svojim lastnim državljanom ali državljanom katere koli druge države, kar je za prizadete državljane pač ugodnejše.
8. člen
Če so naložbe državljana ene pogodbenice zavarovane proti nekomercialnim tveganjem ali če je drugače zagotovljeno plačilo odškodnine za take naložbe po sistemu, ki ga ureja zakon, predpis ali vladna pogodba, potem druga pogodbenica prizna vsak vstop zavarovatelja ali pozavarovatelja ali agencije, ki jo imenuje pogodbenica, v pravice omenjenega državljana pod pogoji takega zavarovanja ali na podlagi vsake druge izplačane odškodnine.
9. člen
Vsaka od pogodbenic soglaša, da bo vsak spor, do katerega bi prišlo med njo in državljanom druge pogodbenice v zvezi z njegovo naložbo na ozemlju te pogodbenice in ki ga v treh mesecih od datuma zahtevka za mirno rešitev spora ne bi mogli rešiti na prijateljski način, predložila Mednarodnemu centru za reševanje investicijskih sporov za poravnavo s spravo ali arbitražo na podlagi Konvencije o reševanju investicijskih sporov med državami in državljani drugih držav, ki je bila dana na voljo za podpis 18. marca 1965 v Washingtonu.
Pravna oseba, ki je državljan ene pogodbenice in ki jo pred nastankom takega spora nadzorujejo državljani druge pogodbenice, se v skladu s členom 25 (2) (b) te konvencije za namene konvencije obravnava kot državljan druge pogodbenice.
10. člen
(1) Določbe tega sporazuma se od dneva njegove uveljavitve dalje uporabljajo tudi za obstoječe naložbe, ki so bile izvedene pred tem datumom.
(2) Investitorji iz odstavka (b) (iii) prvega člena ne smejo vložiti zahtevka na podlagi tega sporazuma, če je bila za isto zadevo že uporabljena določba kakega drugega sporazuma o zaščiti naložb.
11. člen
Vsaka pogodbenica lahko drugi pogodbenici predlaga posvetovanje o kateri koli zadevi v zvezi z razlago ali uporabo sporazuma. Druga pogodbenica bo predlog dobronamerno proučila in ponudila primerno priložnost za taka posvetovanja.
12. člen
(1) Vsak spor med pogodbenicama v zvezi z razlago ali uporabo tega sporazuma, ki ga v treh mesecih od začetka spora ni mogoče rešiti z diplomatskimi pogajanji, se – če se stranki nista drugače dogovorili – na zahtevo ene ali druge stranke predloži v obravnavo arbitražnemu senatu, ki ga sestavljajo trije člani. Vsaka stranka imenuje enega razsodnika in tako imenovana razsodnika skupaj imenujeta kot svojega predsednika tretjega razsodnika, ki ni državljan nobene od pogodbenic.
(2) Če ena od strank ne imenuje svojega razsodnika in tega ne stori tudi še v dveh mesecih po tem, ko jo je druga stranka pozvala, da opravi imenovanje, lahko ta druga stranka zaprosi predsednika Meddržavnega sodišča, da opravi potrebno imenovanje.
(3) Če se prva dva razsodnika v dveh mesecih po svojem imenovanju ne moreta dogovoriti o izbiri tretjega razsodnika, lahko ena ali druga stranka zaprosi predsednika Meddržavnega sodišča, da opravi potrebno imenovanje.
(4) Če v primerih, predvidenih v odstavkih (2) in (3) tega člena, predsednik Meddržavnega sodišča ne more opraviti omenjene naloge ali če je državljan ene od pogodbenic, je treba povabiti podpredsednika sodišča, da opravi potrebno imenovanje. Če podpredsednik sodišča ne more opraviti imenovanja ali če je državljan ene od pogodbenic, se povabi po funkciji naslednji najstarejši član Meddržavnega sodišča, ki ni državljan ene od pogodbenic, da opravi potrebna imenovanja.
(5) Arbitražni senat odloča na podlagi spoštovanja zakona. Preden senat sprejme odločitev, lahko na vsaki stopnji postopka pogodbenicam predlaga mirno reševanje spora. Navedene določbe ne prejudicirajo reševanja spora ex aequo et bono, če se stranki tako dogovorita.
(6) Če se stranki ne odločita drugače, arbitražni senat sam določi svoj postopek.
(7) Arbitražni senat sprejme odločitev z večino glasov. Tako sprejeta odločitev je dokončna in za stranki zavezujoča.
13. člen
Za Kraljevino Nizozemsko se ta sporazum uporablja v evropskem delu Kraljevine, na nizozemskih Antilih in na Arubi.
14. člen
(1) Ta sporazum začne veljati prvi dan drugega meseca po dnevu, ko sta se pogodbenici pisno obvestili, da so končani ustavno zahtevani postopki v njunih državah, in ostane v veljavi petnajst let.
(2) Če nobena od pogodbenic pisno ne obvesti druge pogodbenice o prenehanju sporazuma najmanj šest mesecev pred datumom izteka njegove veljavnosti, se sporazum molče podaljšuje še za deset let, pri čemer si vsaka pogodbenica pridržuje pravico, da ga pisno odpove najkasneje šest mesecev pred iztekom tekočega obdobja veljavnosti.
(3) Za naložbe, ki so bile izvedene pred datumom prenehanja veljavnosti sporazuma, ostanejo vsi prejšnji členi v veljavi še nadaljnjih petnajst let po tem datumu.
(4) Ob upoštevanju roka, omenjenega v odstavku (2) tega člena, ima Vlada Kraljevine Nizozemske pravico prekiniti uporabo tega sporazuma ločeno za vsak del kraljevine posebej.
(5) Z začetkom veljavnosti sporazuma bo le-ta v odnosih med Republiko Slovenijo in Kraljevino Nizozemsko nadomestil Sporazum o zaščiti investicij med Socialistično federativno republiko Jugoslavijo in Kraljevino Nizozemsko, podpisan 16. februarja 1976.
V potrditev navedenega sta spodaj podpisana predstavnika, za to ustrezno pooblaščena, podpisala ta sporazum.

PROTOKOL
Ob podpisovanju Sporazuma o pospeševanju in medsebojni zaščiti naložb med Vlado Republike Slovenije in Vlado Kraljevine Nizozemske, sta se po svojih vladah ustrezno pooblaščena podpisnika dogovorila tudi o naslednjih določbah, ki so sestavni del tega sporazuma:
V zvezi s členom 1 (b) (iii) tega sporazuma:
Posreden nadzor nad naložbo pomeni dejanski nadzor, ugotovljen po pregledu resničnih razmer za vsak primer posebej. Pri vsakem takem pregledu je treba upoštevati vse pomembne dejavnike, vključno z investitorjevo:
(a) finančno udeležbo, kar vključuje tudi kapitalski delež v naložbi;
(b) možnostjo, da pomembno vpliva na upravljanje in izvajanje naložbe; in
(c) možnostjo, da pomembno vpliva na izbiro članov upravnega odbora ali kakega drugega organa upravljanja.
Kadar je dvomljivo, ali investitor neposredno ali posredno nadzoruje določeno naložbo, nosi dokazno breme investitor, ki trdi, da naložbo nadzoruje.

3. člen
Za izvajanje sporazuma s protokolom skrbi Ministrstvo za ekonomske odnose in razvoj.
4. člen
Ta zakon začne veljati naslednji dan po objavi v Uradnem listu Republike Slovenije – Mednarodne pogodbe.
