135. Uredba o ratifikaciji Sporazuma med Vlado Republike Slovenije in Vlado Države Izrael o dvostranskem sodelovanju na področju tehnoloških in industrijskih raziskav in razvoja v zasebnem sektorju, stran 1279.

O RATIFIKACIJI SPORAZUMA MED VLADO REPUBLIKE SLOVENIJE IN VLADO DRŽAVE IZRAEL O DVOSTRANSKEM SODELOVANJU NA PODROČJU TEHNOLOŠKIH IN INDUSTRIJSKIH RAZISKAV IN RAZVOJA V ZASEBNEM SEKTORJU
1. člen
Ratificira se Sporazum med Vlado Republike Slovenije in Vlado Države Izrael o dvostranskem sodelovanju na področju tehnoloških in industrijskih raziskav in razvoja v zasebnem sektorju, podpisan 12. julija 2006 v Ljubljani.
2. člen
Besedilo sporazuma se v izvirniku v angleškem jeziku ter v prevodu v slovenskem jeziku glasi:
A G R E E M E N T
BETWEEN THE GOVERNMENT OF THE REPUBLIC OF SLOVENIA AND THE GOVERNMENT OF THE STATE OF ISRAEL ON BILATERAL COOPERATION IN PRIVATE SECTOR TECHNOLOGICAL AND INDUSTRIAL RESEARCH AND DEVELOPMENT
The Government of The Republic of Slovenia (hereinafter referred to as "Slovenia”) and The Government of the State of Israel (hereinafter referred to as “Israel”), (hereinafter referred to as “Parties”)
DESIRING to develop and strengthen economic, industrial, technological and commercial cooperation between Slovenia and Israel;
RECOGNIZING the growing importance of cooperation in the field of Technology and Industrial Research and Development and considering the mutual interest of the Parties in making progress in the fields of industrial and technological research and development and the resulting advantages for both Parties;
RECOGNIZING the challenges of stimulating innovation and economic growth are of mutual concern to both Parties;
DESIRING to enhance their industrial competitiveness through cooperation in industrial and technological R&D and to develop and strengthen economic and commercial cooperation between them;
BELIEVING that fostering such cooperation will contribute to the development of their national economies, as well as to the social development of their people;
RESOLVING to undertake a sustained effort to promote, strengthen, facilitate and support joint industrial research and development (hereinafter referred as "R&D") projects, between businesses, corporations or entities (hereinafter referred as the "Entities") from the two countries;
Have reached the following agreement (hereinafter referred to as the “Agreement”):
ARTICLE I – OBJECTIVES
The Parties determine that the objectives of this Agreement are to:
1. Promote the activities of their respective private sectors to intensify bilateral industrial research and development cooperation between the Parties in areas to be mutually agreed and regulated by Implementing Arrangements;
2. Facilitate the identification of specific projects, partnerships or collaborations between Entities from Slovenia and from Israel that could lead to industrial R&D cooperation;
3. Promote and support, by funding or otherwise, joint industrial research and development activities between Entities from Slovenia and Israel;
4. Define, coordinate and focus suitable and specific mechanisms for collaboration, including suitable government resources and programs to support industrial cooperation and commercial exploitation of R&D projects results, including the establishment of a framework for financial support of joint industrial R&D cooperation;
5. Give expression to the initiative by establishing a framework for financial support under which the Parties shall support jointly approved industrial R&D cooperation projects in the field of industrial R&D undertaken by Entities from Slovenia and Israel, for joint development and subsequent joint management and marketing of products or processes based on new innovative technologies to be commercialized in the global market (hereinafter referred to as "Projects").
For the purpose of this Agreement, industrial R&D means, inter alia, research, development and demonstration activities intended to develop new products or processes to be commercialized in the global market.
ARTICLE II – SCOPE OF COOPERATION
1. The cooperation may include the following activities:
a) Exchange of technological information and documentation;
b) Planning, support, design and consultation with respect to joint Projects;
c) Organization of symposia, conferences, and meetings on technology, and meetings for firms or Entities from both countries to jointly assess cooperation opportunities;
d) Joint use of research and development facilities and equipment;
e) Performance of any other activities to promote possibilities for cooperation between Entities from Slovenia and from Israel;
f) Other modalities of technological and Industrial R&D cooperation on which the Parties may agree upon;
g) Making available government funding for cooperation Projects, each country according to its own applicable laws, regulations, procedures, rules, budget and appropriate mechanisms.
2. The activities specified in section 1 above, shall be performed in accordance with the applicable domestic laws, regulations, procedures, rules, budget and appropriate mechanisms of each country.
3. Cooperation within the framework of this Agreement will be performed and executed mainly in the following technological areas, which have influence on the industrial competitiveness of both countries:
a) Communications
b) Computer & Software
c) Medical Equipment
d) Agriculture
e) Medical Technologies, Pharmaceuticals
f) Biotechnology
g) Energy
h) New Materials
Any other Hi-Tech areas of mutual interest to both countries.
ARTICLE III – COOPERATING AUTHORITIES
1. The Ministry of Higher Education, Science and Technology of Slovenia and the Ministry of Industry, Trade and Labor of Israel shall be in charge of the implementation of this Agreement and shall designate Cooperating Authorities for the purpose of implementing this Agreement.
2. The Office of International Cooperation and European Affairs of the Ministry of Higher Education, Science and Technology (hereinafter referred to as "OICEA") on behalf of Slovenia and the Office of the Chief Scientist of the Ministry of Industry, Trade and Labor (hereinafter referred to as "OCS") on behalf of Israel shall be the Cooperating Authorities for implementing this Agreement.
3. The Parties, or designated Cooperating Authorities, shall bear and be responsible for their respective costs in promoting, administrating and implementing the objectives of this Agreement and discharging their responsibilities under this Agreement all subject to the applicable domestic laws, regulations, procedures, rules, budget and appropriate mechanisms of each country.
4 The Parties shall designate a Joint Commission for the purpose of the monitoring of the present Agreement, which shall meet as required alternately in the capitals of the Parties, on dates to be agreed through diplomatic channels.
5. The tasks of the Joint Commission shall be as follows:
a) evaluating the principal political questions related to the implementation of the present Agreement;
b) identifying the fields of cooperation on the basis of information delivered by institutions of each country and the national policies in Technology;
c) examining the progress of activities related to the present Agreement;
d) creating favorable conditions for the implementation of the present Agreement.
6. Urgent decisions related to the points above, which may arise between Joint Commission meetings, will be taken through diplomatic channels.
ARTICLE IV – SUPPORT TO R&D PROJECTS
1. The Parties within their competence and according to their applicable laws, regulations, procedures, rules, budget and appropriate mechanisms shall facilitate, support and encourage cooperation Projects in the field of technological and industrial R&D.
2. Each partner to the Project will be subject to the provisions of its own applicable domestic laws, regulations, procedures, rules, budget and appropriate mechanisms with respect to assistance and funding of research and development provided by its own government, including the level of support and the terms and conditions under which that support may be provided, and if applicable, the obligation to pay royalties.
ARTICLE V – FAIR AND EQUITABLE TREATMENT
Subject to its internal laws and regulations, each Party shall accord fair and equitable treatment to the individuals, government agencies and other Entities of the other Party engaged in the pursuit of activities under this Agreement.
ARTICLE VI – DISCLOSURE OF INFORMATION
1. Each Party commits itself not to transmit, without written approval of the other Party, information concerning the results obtained from the cooperative programs for industrial research and development covered under this Agreement to a third person, organization, or to any other country or state.
2. Each Party shall notify the other immediately upon any requirement arising under which it might be compelled by law to disclose information or documents relating to this Agreement which would otherwise be subject to confidentiality.
3. The Party required to disclose shall in any event use its best endeavors to ensure that the person obtaining disclosure of the information in these circumstances protects the confidentiality at all times and observes the terms of this Agreement.
ARTICLE VII – INTELLECTUAL PROPERTY RIGHTS (IPR)
1. The Parties shall ensure appropriate and efficient protection of intellectual property rights obtained on the basis of this Agreement, in accordance with the laws and regulations in force in their respective countries and in accordance with the international agreements to which they are parties.
2. The partners to Projects supported under this Agreement shall be required to submit to the Parties evidence of contractual arrangements between them relating to the performance of the Project; commercialization of the Project's results; royalties and intellectual property rights in particular:
(a) The ownership and use of know-how and intellectual property owned by the partners to the Project prior to the Project;
(b) Arrangements for the ownership and use of know-how and intellectual property to be created in the course of the Project.
3. Notwithstanding the provisions of paragraph 2 above, it shall be the responsibility of the partners to Projects supported under this Agreement to safeguard their own interests.
4. Scientific and technological information of a non-proprietary nature arising from the cooperative activities under this Agreement may be made available to the public through customary channels.
ARTICLE VIII – FINAL PROVISIONS
1. Each Party shall notify the other party, in writing, through diplomatic channels, of the completion of internal legal procedures required for bringing this Agreement into force. This Agreement shall enter into force on the date of the later notification.
2. This Agreement shall remain in force until either Party terminates it. Either Party may terminate this Agreement by written notification to the other Party, through diplomatic channels. The Agreement shall cease to be in force six months after the date of such notification.
3. This Agreement may be amended, in writing, by mutual agreement of the Parties. Any such amendment shall enter into force in accordance with the procedure set forth in paragraph (1) of this Article.
4. The amendment or termination of this Agreement shall not affect the validity of arrangements and contracts already concluded.
5. This Agreement shall not affect the present and future rights or obligations of the Parties arising from other international agreements and treaties.
In witness whereof, the undersigned being duly authorized, have signed this Agreement.
Done in duplicate at Ljubljana on the 12 day of July year 2006, corresponding to the 16 day of sevan 5766, in the Hebrew calendar, each in the Slovenian, Hebrew and the English languages, texts being equally authentic. In case of divergence of interpretation, the English text shall prevail.

S P O R A Z U M
MED VLADO REPUBLIKE SLOVENIJE IN VLADO DRŽAVE IZRAEL O DVOSTRANSKEM SODELOVANJU NA PODROČJU TEHNOLOŠKIH IN INDUSTRIJSKIH RAZISKAV IN RAZVOJA V ZASEBNEM SEKTORJU
Vlada Republike Slovenije (v nadaljevanju »Slovenija«) in Vlada Države Izrael (v nadaljevanju »Izrael«) (v nadaljevanju »pogodbenici«) sta
V ŽELJI, da bi razvijali in okrepili gospodarsko, industrijsko, tehnološko in trgovinsko sodelovanje med Slovenijo in Izraelom;
KER SE ZAVEDATA, da se povečuje pomen sodelovanja na področju tehnoloških in industrijskih raziskav in razvoja, in glede na skupni interes pogodbenic za napredek na področju industrijskih in tehnoloških raziskav in razvoja ter iz njih izhajajočih prednosti za obe pogodbenici;
KER SE ZAVEDATA, da so izzivi, povezani s spodbujanjem inovativnosti in gospodarske rasti, pomembni za obe pogodbenici;
V ŽELJI, da bi povečali svojo industrijsko konkurenčnost s sodelovanjem na področju industrijskih in tehnoloških raziskav in razvoja ter da bi razvili in okrepili medsebojno gospodarsko in trgovinsko sodelovanje;
PREPRIČANI, da bo spodbujanje takega sodelovanja prispevalo k razvoju njunih narodnih gospodarstev in družbenemu razvoju njunih narodov;
KER STA ODLOČENI, da si bosta nenehno prizadevali spodbujati, krepiti, omogočati in podpirati skupne industrijske raziskovalne in razvojne projekte med podjetji, družbami ali subjekti (v nadaljevanju »subjekti«) iz obeh držav,
sklenili naslednji sporazum (v nadaljevanju »sporazum«):
I. ČLEN – CILJI
Pogodbenici skleneta, da so cilji tega sporazuma:
1. spodbujati dejavnosti njunih zasebnih sektorjev, da se okrepi dvostransko sodelovanje na področju industrijskih raziskav in razvoja med pogodbenicama na skupno dogovorjenih področjih, ki jih urejajo izvedbeni dogovori;
2. olajšati opredeljevanje konkretnih projektov, partnerstev ali sodelovanja med slovenskimi in izraelskimi subjekti, ki bi lahko privedli do sodelovanja na področju industrijskih raziskav in razvoja;
3. s financiranjem ali drugače spodbujati in podpirati skupne industrijske raziskovalne in razvojne dejavnosti med slovenskimi in izraelskimi subjekti;
4. določati, usklajevati in osredotočati se na ustrezne in posebne mehanizme sodelovanja, vključno z ustreznimi vladnimi viri in programi za podporo industrijskemu sodelovanju in izkoriščanju raziskovalnih in razvojnih izsledkov projektov v komercialne namene ter vzpostavitvijo okvira za finančno podporo skupnemu sodelovanju na področju industrijskih raziskav in razvoja;
5. uresničiti pobudo z vzpostavitvijo okvira za financiranje, na podlagi katerega bosta pogodbenici podpirali skupno odobrene industrijske raziskovalne in razvojne projekte sodelovanja, ki jih izvajajo slovenski in izraelski subjekti, za skupni razvoj in poznejše skupno upravljanje in trženje proizvodov ali procesov, ki temeljijo na novih inovativnih tehnologijah, s katerimi se bo trgovalo na svetovnem trgu (v nadaljevanju »projekti«).
V tem sporazumu izraz industrijske raziskave in razvoj med drugim pomeni raziskave, razvoj in predstavitvene dejavnosti, namenjene razvijanju novih proizvodov ali postopkov, s katerimi se bo trgovalo na svetovnem trgu.
II. ČLEN – PODROČJE SODELOVANJA
1. Sodelovanje lahko vključuje te dejavnosti:
a) izmenjavo tehnoloških informacij in dokumentacije;
b) načrtovanje, podporo, oblikovanje skupnih projektov in posvetovanje v zvezi z njimi;
c) organizacijo tehnoloških simpozijev, konferenc in srečanj ter srečanj podjetij in subjektov iz obeh držav, da se skupno ocenijo možnosti sodelovanja;
d) skupno uporabo raziskovalnih in razvojnih pripomočkov in opreme;
e) izvajanje katerih koli drugih dejavnosti za povečanje možnosti sodelovanja med slovenskimi in izraelskimi subjekti;
f) druge načine sodelovanja na področju tehnoloških in industrijskih raziskav in razvoja, o katerih se pogodbenici lahko dogovorita;
g) zagotavljanje vladnega financiranja projektov sodelovanja, in sicer vsaka država v skladu s svojimi veljavnimi zakoni, predpisi, postopki, pravili, proračunom in ustreznimi mehanizmi.
2. Dejavnosti iz prejšnjega odstavka tega člena se izvajajo v skladu z veljavnimi notranjimi zakoni, predpisi, postopki, pravili, proračunom in ustreznimi mehanizmi posamezne države.
3. Sodelovanje na podlagi tega sporazuma poteka predvsem na teh tehnoloških področjih, ki vplivajo na industrijsko konkurenčnost obeh držav:
a) komunikacije,
b) računalniška strojna in programska oprema,
c) medicinska oprema,
d) kmetijstvo,
e) medicinska tehnologija, farmacevtski izdelki,
f) biotehnologija,
g) energija,
h) novi materiali,
druga visokotehnološka področja v skupnem interesu obeh držav.
III. ČLEN – SODELUJOČI ORGANI
1. Za izvajanje tega sporazuma sta odgovorni Ministrstvo za visoko šolstvo, znanost in tehnologijo Slovenije ter Ministrstvo za industrijo, trgovino in delo Izraela ter za njegovo izvajanje imenujeta sodelujoča organa.
2. Sodelujoča organa za izvajanje tega sporazuma sta Služba za mednarodno sodelovanje in evropske zadeve Ministrstva za visoko šolstvo, znanost in tehnologijo (v nadaljevanju »SMSEZ«) v imenu Slovenije ter Urad glavnega znanstvenika Ministrstva za industrijo, trgovino in delo (v nadaljevanju »UGZ«) v imenu Izraela.
3. Pogodbenici ali imenovana sodelujoča organa krijeta in sta odgovorna za svoje stroške spodbujanja, upravljanja in uresničevanja ciljev tega sporazuma ter izpolnjevanje svojih obveznosti na podlagi tega sporazuma v skladu z veljavnimi notranjimi zakoni, predpisi, postopki, pravili, proračunom in ustreznimi mehanizmi posamezne države.
4. Pogodbenici imenujeta skupno komisijo za spremljanje tega sporazuma, ki se po potrebi sestaja izmenično v glavnih mestih pogodbenic takrat, ko se to določi po diplomatski poti.
5. Naloge skupne komisije so:
a) ocenjevanje temeljnih političnih vprašanj o izvajanju tega sporazuma;
b) opredelitev področij sodelovanja na podlagi informacij, ki jih dajejo institucije obeh držav, in nacionalne politike na področju tehnologije;
c) pregled napredka pri tem sporazumu;
d) ustvarjanje ugodnih razmer za izvajanje tega sporazuma.
6. Nujne odločitve v zvezi z zgornjimi točkami, ki jih je treba sprejeti med zasedanjema skupne komisije, se sprejmejo po diplomatski poti.
IV. ČLEN – PODPORA RAZISKOVALNIM IN RAZVOJNIM PROJEKTOM
1. Pogodbenici v okviru svojih pristojnosti in v skladu s svojimi veljavnimi zakoni, predpisi, postopki, pravili, proračunom in ustreznimi mehanizmi omogočata, podpirata in spodbujata projekte sodelovanja na področju tehnoloških in industrijskih raziskav in razvoja.
2. Vsak projektni partner mora spoštovati svoje notranje zakone, predpise, postopke, pravila, proračun in ustrezne mehanizme v zvezi s pomočjo in financiranjem raziskav in razvoja, ki ju zagotavlja njegova vlada, vključno z višino podpore in pogoji, pod katerimi se ta podpora lahko zagotavlja, in če je potrebno, obveznostjo plačevanja nadomestil.
V. ČLEN – POŠTENO IN ENAKO OBRAVNAVANJE
Vsaka pogodbenica ob upoštevanju svojih notranjih zakonov in predpisov pošteno in enako obravnava posameznike, vladne agencije in druge subjekte druge pogodbenice, ki opravljajo dejavnosti po tem sporazumu.
VI. ČLEN – RAZKRITJE INFORMACIJ
1. Vsaka pogodbenica se zavezuje, da brez pisne odobritve druge pogodbenice ne bo tretji osebi, organizaciji ali kateri koli drugi državi dala informacij o izsledkih, pridobljenih na podlagi programov sodelovanja pri industrijskih raziskavah in razvoju po tem sporazumu.
2. Vsaka pogodbenica drugo pogodbenico takoj uradno obvesti o vsaki zahtevi, zaradi katere bi bila lahko po zakonu zavezana razkriti informacije ali dokumente, povezane s tem sporazumom, ki bi bili sicer zaupni.
3. Pogodbenica, od katere se zahteva razkritje, si v vsakem primeru po svojih močeh prizadeva zagotoviti, da bo oseba, ki so ji bile v teh okoliščinah razkrite informacije, ves čas varovala njihovo zaupnost in spoštovala določbe tega sporazuma.
VII. ČLEN – PRAVICE INTELEKTUALNE LASTNINE
1. Pogodbenici zagotavljata ustrezno in učinkovito varstvo pravic intelektualne lastnine, pridobljenih na podlagi tega sporazuma, v skladu z zakoni in predpisi, veljavnimi v državi posamezne pogodbenice, ter mednarodnimi sporazumi, katerih pogodbenici sta.
2. Projektni partnerji morajo pri projektih s podporo po tem sporazumu pogodbenicama predložiti dokazilo o medsebojnih pogodbenih dogovorih v zvezi z izvajanjem projekta, trženju izsledkov projekta, nadomestilih in pravicah intelektualne lastnine, predvsem pa o:
a) lastništvu in uporabi znanja in izkušenj ter intelektualne lastnine, ki so pred začetkom projekta last projektnih partnerjev;
b) dogovorih glede lastništva in uporabe znanja ter intelektualne lastnine, ustvarjenih med izvajanjem projekta.
3. Ne glede na določbe prejšnjega odstavka projektni partnerji pri projektih s podporo po tem sporazumu sami varujejo svoje lastne interese.
4. Nelastniške znanstvene in tehnološke informacije, ki izhajajo iz sodelovanja po tem sporazumu, so lahko po običajnih poteh dostopne javnosti.
VIII. ČLEN – KONČNE DOLOČBE
1. Vsaka pogodbenica pisno po diplomatski poti uradno obvesti drugo pogodbenico, da so končani notranjepravni postopki, potrebni za začetek veljavnosti tega sporazuma. Ta sporazum začne veljati z dnem zadnjega uradnega obvestila.
2. Sporazum velja, dokler ga ena od pogodbenic ne odpove. Vsaka pogodbenica ga lahko odpove s pisnim uradnim obvestilom drugi pogodbenici po diplomatski poti. Sporazum preneha veljati šest mesecev od dneva takega uradnega obvestila.
3. Sporazum se lahko pisno spremeni na podlagi dogovora pogodbenic. Vsaka taka sprememba začne veljati po postopku iz prvega odstavka tega člena.
4. Sprememba ali odpoved tega sporazuma ne vpliva na veljavnost že sklenjenih dogovorov in pogodb.
5. Sporazum ne vpliva na sedanje ali prihodnje pravice ali obveznosti pogodbenic po drugih mednarodnih sporazumih in pogodbah.
V potrditev navedenega sta podpisana, ki sta bila pravilno pooblaščena, podpisala ta sporazum.
Sestavljeno v dveh izvodih v Ljubljani dne 12. 7. 2006, ki po hebrejskem koledarju ustreza 16. sevan 5766, od katerih je vsak v slovenskem, hebrejskem in angleškem jeziku, vsa besedila so enako verodostojna. Ob različni razlagi prevlada angleško besedilo.

3. člen
Za izvajanje sporazuma skrbi Ministrstvo za visoko šolstvo, znanost in tehnologijo.
4. člen
Ta uredba začne veljati petnajsti dan po objavi v Uradnem listu Republike Slovenije – Mednarodne pogodbe.
